CABLE CARRIAGE. To Seller's knowledge, SCHEDULE 10 hereto sets forth a correct and complete list of (1) all cable television systems which carry the Station's signal on the date hereof under the FCC's "must carry" rules; and (2) all cable television systems which carry the Station's signal pursuant to retransmission consent agreements (with copies of such agreements included in the schedule).

CABLE CARRIAGE. Schedule 5.22 annexed hereto sets forth a correct and complete list of (i) all cable television systems which carry the Station's signal on the date hereof under the FCC's "must carry" rules; and (ii) all cable television systems which carry the Station's signal pursuant to retransmission consent agreements (with copies of such agreements included in the schedule).
CABLE CARRIAGE. To the Knowledge of the Selling Shareholders, SCHEDULE 2.23 annexed hereto sets forth a complete list of (a) all cable television systems which carry the Station's signal on the date hereof under the FCC's "must carry" rules; and (b) all cable television systems which carry the Station's signal pursuant to retransmission consent agreements, true and complete copies of which have been delivered to Purchaser.
CABLE CARRIAGE. Take any action or, as the case may be, fail to take any action necessary to preserve the Station's carriage on cable television systems identified in SCHEDULE 2.23;
CABLE CARRIAGE. Sellers shall take any and all commercially reasonable actions, and not fail to take any commercially reasonable actions, necessary or appropriate to preserve the Stations' carriage on the cable television systems identified in SCHEDULE 3.19, except that Sellers shall not be responsible for any action or omission of any Buyer following the First Closing which causes a cable system to delete any Station's signal from carriage on such system.
CABLE CARRIAGE. Consistent with the rules and regulations of the FCC, the Company shall notify the cable operators within the Phoenix, Arizona Area of Dominant Influence of the Station's election to be carried on a "must-carry" basis on such cable operators' cable television systems. The Company shall use its best efforts to provide such notices on the date that is sixty (60) days prior to commencing operations pursuant to program test authority as defined by FCC rules and regulations, but in no event shall such notices be provided later than thirty (30) days after the commencement of such operations.
CABLE CARRIAGE. Broadcaster shall use commercially reasonable efforts to maximize the distribution of the Station’s channel on which Station broadcasts the Programs by MVPDs serving the Station’s DMA. Where permitted, the channel identification on an MVPD’s electronic program guide shall include the Action logo and name. However, if Broadcaster is unable, for any reason, to reach agreement for seventy percent (70%) cable carriage of the Station within one hundred fifty (150) calendar days from the start of this Agreement, Action has the right, at its sole discretion, to terminate this Agreement without further obligation.

CABLE CARRIAGE. Except as set forth on Schedule 4.12, the signals of WWMT and WLAJ are being carried on all cable television systems located within the Kalamazoo-Grand Rapids-Battle Creek DMA (Designated Market Area) and Lansing DMA, respectively, as designated by the FCC either pursuant to the mandatory carriage requirements specified in Section 614 of the Communications Act or pursuant to retransmission consent agreements entered into in accordance with Section 325(b) of the Communications Act, subject to current administrative proceedings and any litigation pertaining to mandatory carriage and consent.
CABLE CARRIAGE. The signal of KOFY is being carried on all cable television systems set forth in Schedule 4.20, located within the Xxx Xxxxxxxxx - Xxx Xxxx, Xxxxxxxxxx XXX (Xxxxxxxxxx Xxxxxx Xxxx) as designated by the FCC either pursuant to the mandatory carriage requirements specified in Section 614 of the Communications Act or pursuant to retransmission consent agreements entered into in accordance with Section 325(b) of the Communications Act and the terms of such mandatory carriage rights and retransmission agreements shall by their respective terms extend until at least the dates set forth in Schedule 4.20 after giving effect to the transactions contemplated by this Agreement.
CABLE CARRIAGE. Sellers shall take any and all commercially reasonable actions, and not fail to take any commercially reasonable actions, to preserve the Station's carriage on the cable television systems identified in SCHEDULE 3.19. Paxsxx Xxxense shall prosecute with all reasonable diligence the Petition for Special Relief filed by Paxsxx Xxxense with the FCC on January 5, 1999, concerning the proposed modification of the Station's television market (identified as item 2 on SCHEDULE 3.14).
