Bylaws/Operating Agreement. A copy of the bylaws or comparable operating agreement of each Credit Party certified by an officer of such Credit Party (pursuant to an officer’s certificate in substantially the form of Exhibit 4.1(b) attached hereto) as of the Closing Date to be true and correct and in force and effect as of such date.
Bylaws/Operating Agreement. A copy of the bylaws or comparable operating agreement of such Credit Party;
Bylaws/Operating Agreement. A copy of the bylaws or comparable operating agreement of each Borrower certified by a secretary or assistant secretary of such Borrower (pursuant to a secretary's certificate in substantially the form of Schedule 4.1-1 attached hereto) as of the Closing Date to be true and correct and in force and effect as of such date.
Bylaws/Operating Agreement. A copy of the bylaws or operating agreement, as applicable, of each Borrower certified by a secretary or assistant secretary of the Borrowers to be true and correct as of the Initial Funding Date.
Bylaws/Operating Agreement. A copy of the bylaws, operating agreement or limited liability company agreement of each Borrower certified by an Officer of such Borrower as of the Fourth Amendment Effective Date to be true and correct and in force and effect as of such date.
Bylaws/Operating Agreement. A copy of the bylaws or operating agreement of each Credit Party certified by a secretary or assistant secretary of such Credit Party to be true and correct as of the Closing Date;
Bylaws/Operating Agreement. A copy of the bylaws or --------------------------- operating agreement of each Credit Party certified by a secretary or assistant secretary of such Credit Party to be true and correct as of the Effective Date.
Bylaws/Operating Agreement. Either (i) a copy of the bylaws or comparable operating agreement of each Credit Party certified by an officer of such Credit Party (pursuant to an officer’s certificate in form and substance reasonably acceptable to the Administrative Agent) as of the Second Amendment Effective Date to be true and correct and in force and effect as of such date, or (ii) a certification from each Credit Party that such Credit Party’s bylaws or comparable operating agreement, as applicable, delivered to the Administrative Agent on the Closing Date have not been amended, modified or supplemented since such date.
Bylaws/Operating Agreement. A copy of the bylaws or comparable operating agreement of each Orchard Entity certified by an officer of such entity as of the Closing Date to be true and correct and in force and effect as of such date.
Bylaws/Operating Agreement. To the extent applicable to the Credit Parties, a copy of the bylaws or comparable operating agreement of each Credit Party certified by a secretary or assistant secretary, managing director or other duly authorized person, as the case may be, of such Credit Party as of the Seventh Amendment Effective Date to be true and correct and in force and effect as of such date.
