By Westcon. Xxxxxxx agrees to indemnify, defend and hold Reseller, its partners, parents, subsidiaries and affiliates, and their respective successors, assigns, members, principals, officers, directors, employees and agents, harmless from and against any and all claims, lawsuits, investigations or demands (and reasonable costs, liabilities, damages and expenses arising therefrom (including reasonable attorneys’ fees), to the extent such claims, lawsuits, investigations or demands arise out of or are in connection with: (i) personal injury or death, or damage to real or tangible property, caused by Westcon’s negligence or willful misconduct; or (ii) the actual or alleged infringement of the Work Product or Deliverables of a U.S. patent or copyright, except to the extent of Reseller’s usage (other than in accordance with the SOW), modification, or combination, of the Work Product with any other intellectual property.
By Westcon. A) Westcon will perform security penetration testing to attempt to identify security vulnerabilities and/or software configuration errors on one or more systems owned and/or operated by the Reseller.

  • In-Network Convenience Clinics and Online Care Services received at in-network convenience clinics and online care are not subject to a copayment in each year of the Agreement. First dollar deductibles are waived for convenience clinic and online care visits. (Note that prescriptions received as a result of a visit are subject to the drug copayment and out-of-pocket maximums described above at 6A2(4)e).)

  • Network Etiquette You are expected to abide by the generally accepted rules of network etiquette. These include but are not limited to the following:

  • Perth-Huron The Employer agrees that where there is risk of violence, an adequate level of trained Registered Nurses should be present. The Employer recognizes that workloads can lead to fatigue and a diminished ability, both to identify and to subsequently deal with potentially violent situation(s).

  • Networks 1. Health plan provider networks must have a full range of primary care and specialist physicians with reasonable numbers of each in relationship to eligible State employees.

  • By Microsoft Microsoft will defend Customer against any third-party claim to the extent it alleges that a Product or Fix made available by Microsoft for a fee and used within the scope of the license granted under this agreement (unmodified from the form provided by Microsoft and not combined with anything else), misappropriates a trade secret or directly infringes a patent, copyright, trademark or other proprietary right of a third party. If Microsoft is unable to resolve a claim of infringement under commercially reasonable terms, it may, as its option, either: (1) modify or replace the Product or fix with a functional equivalent; or (2) terminate Customer’s license and refund any prepaid license fees (less depreciation on a five-year, straight-line basis) for perpetual licenses and any amount paid for Online Services for any usage period after the termination date. Microsoft will not be liable for any claims or damages due to Customer’s continued use of a Product or Fix after being notified to stop due to a third- party claim.

  • Cross Connection For a collocation arrangement, the facilities between the collocating Party’s equipment and the equipment or facilities of the housing Party (such as the housing Party’s digital signal cross connect, Main Distribution Frame, or other suitable frame or panel).

  • SS7 Network Interconnection 9.7.1 SS7 Network Interconnection is the interconnection of Global Connection local signaling transfer point switches or Global Connection local or tandem switching systems with BellSouth signaling transfer point switches. This interconnection provides connectivity that enables the exchange of SS7 messages among BellSouth switching systems and databases, Global Connection local or tandem switching systems, and other third-party switching systems directly connected to the XxxxXxxxx XX0 network.

  • Network Services Preventive care: 100% coverage. Preventive services include, but are not restricted to routine physical exams, routine gynecological exams, routine hearing exams, routine eye exams, and immunizations. A $100 single and $200 family combined annual deductible will apply to lab/diagnostic testing after which 100% coverage will apply. A $50 copay will apply to CT and MRI scans.
