For purposes of this Agreement, "Good Reason" shall mean (i) the Company's failure to perform or observe any material terms or provisions of this Agreement, and the continued failure of the Company to cure such default within thirty (30) days after written demand for performances has been given to the Company by the Executive, which demand shall describe specifically the nature of the alleged failure to perform or observe such material terms of provisions; or (ii) a material reduction in the scope of the Officer's responsibilities and duties.   • By the Executive Other than for Good Reason The Executive may terminate her employment hereunder at any time upon thirty (30) days’ notice to the Company. In the event of the Executive’s termination of employment pursuant to this Section 5(f), the Company may elect to waive all or any part of the period of notice, and, if the Company so elects, the Company will pay the Executive her Base Salary for portion of the notice period so waived. The Company shall have no further obligation to the Executive, other than for her Final Compensation.
