Common use of By the Management Firm Clause in Contracts

By the Management Firm. The Management Firm and BCC shall indemnify, defend, save and hold harmless the Owner, its members, shareholders, officers, directors, employees, or agents from and against all demands, claims, actions, losses, damages, deficiencies, liabilities, costs and expenses (including, without limitation, attorney's fees, interest, penalties and all amounts paid in investigation, defense or settlement of any of the foregoing) asserted against or incurred by the Owner, its members, shareholders, officers, directors, employees, or agents, in connection with, or arising out of, or resulting from (i) a breach by the Management Firm of any of its material covenants, agreements, representations or warranties in this Agreement, or (ii) the negligent or willful acts or omissions of Management Firm, its employees or agents during the term of this Agreement. The provisions of this Section shall survive the expiration or sooner termination of this Agreement.

The Management Firm and BCC shall indemnify, defend, save and hold harmless the OwnerOwner and any lender of the Facility, its members, and their respective shareholders, officers, directors, employees, or agents from and against all demands, claims, actions, losses, damages, deficiencies, liabilities, costs and expenses (including, without limitation, attorney's fees, interest, penalties and all amounts paid in investigation, defense or settlement of any of the foregoing) asserted against or incurred by the OwnerOwner or any such lender, its members, their respective shareholders, officers, directors, employees, or agents, in connection with, or arising out of, or resulting from (i) a breach by of any covenant, agreement, representation or warranty of the Management Firm of any of its material covenants, agreements, representations or warranties in this Agreement, or (ii) the negligent or willful acts or omissions of Management Firm, its employees or agents during the term of this Agreementagents. The provisions of this Section shall survive the expiration or sooner termination of this Agreement.
