Common use of By Notice Clause in Contracts

By Notice. This Agreement, and the employment of Employee hereunder, may be terminated by Employee or Employer upon ninety (90) days' written notice of termination; PROVIDED, HOWEVER, in the event Employer terminates this Agreement for any reason other than the occurrence of any of the events set forth in Sections 5.2 (2), (3), (4), (6), (7) or (9), and subject to Section 4.1(7) hereof, Employee shall be entitled to receive the balance of the unpaid base salary which would otherwise be payable to Employer during the remainder of the term of this Agreement pursuant to Sections 4.1(1) and 4.1(6) hereof within thirty (30) days after such ninety (90) day notice period.
