Common use of By Issuer Clause in Contracts

By Issuer. The Issuer shall indemnify each Agent against any loss, liability, cost, claim, action, demand or expense (including, but not limited to, all reasonable costs, charges and expenses paid or incurred in disputing or defending any of the foregoing) that it may incur or that may be made against it arising out of or in relation to or in connection with its appointment or the exercise of its functions, except such as may result from a breach by it of this Agreement or its own negligence, bad faith or wilful default or that of its officers, employees or agents.

By Issuer. The Issuer shall will indemnify each Agent against any loss, liability, cost, claim, action, demand or expense (including, but not limited to, all reasonable properly incurred costs, charges and expenses paid or incurred in disputing or defending any of the foregoing) that which it may incur or that which may be made against it arising out of or in relation to or in connection with its appointment or the exercise of its functions, except such as may result from a breach by it of this Agreement or its own negligencewilful default, gross negligence or bad faith or wilful default or that of its officers, employees officers or agentsemployees.

The Issuer shall indemnify each Agent and its officers and employees against any loss, liability, cost, claim, action, demand or expense (including, but not limited to, all reasonable costs, charges and expenses paid or incurred in disputing or defending any of the foregoing) that it may incur or that may be made against it arising out of or in relation to or in connection with its appointment or the exercise of its functions, except such as may result from a breach by it of this Agreement or its own negligence, bad faith or wilful default or that of its officers, employees or agents.

The Issuer shall will indemnify and keep indemnified each Agent against any losslosses, liabilityliabilities, cost, claim, action, demand or expense (including, but not limited to, all reasonable costs, charges and expenses paid claims, actions or incurred in disputing or defending any of the foregoing) that demands which it may incur or that which may be made against it arising out as a result of or in relation to or in connection with its appointment or the exercise of its functions, powers and duties under this Agreement except such as may result from a its own wilful default, negligence or bad faith or that of its officers or employees or any of them, or material breach by it of the terms of this Agreement or its own negligenceAgreement, bad faith or wilful default or that and excluding tax payable in respect of its officers, employees or agentsremuneration received by it.

The Issuer shall indemnify each Agent Agent, on an after tax basis, against any loss, liability, cost, claim, action, demand or expense (including, but not limited to, all reasonable costs, charges and expenses paid or incurred in disputing or defending any of the foregoing) that it may incur or that may be made against it arising out of or in relation to or in connection with its appointment or the exercise of its functions, except as a result of such as may result from a breach by it of this Agreement or its own Agent’s gross negligence, bad faith or wilful default or that of its officers, employees or agents.

The Issuer shall will indemnify each Agent of the Agents against any loss, liability, cost, claim, action, demand or expense (including, but not limited to, all reasonable costs, charges and expenses paid or incurred in disputing or defending any of the foregoing) that which it may incur or that which may be made against it arising out of, as a result of or in relation to or in connection with its appointment or the exercise of its functions, powers and performance of its duties hereunder except such as may result from a the breach by it of the terms of this Agreement or from its own negligencewilful default, negligence or bad faith or wilful default or that of its officers, employees officers or agentsemployees.

By Issuer. The Issuer shall indemnify each Agent against any loss, liability, cost, claim, action, demand or expense (including, but not limited to, all reasonable costs, charges and expenses paid or incurred in disputing or defending any of the foregoing) that it may incur or that may be made against it directly arising out of or in relation to or in connection with its appointment or the exercise of its functions, except such as may result from a breach by it of this Agreement or its own negligence, bad faith fraud or wilful default or that of its officers, employees or agents.
