Common use of By Google Clause in Contracts

By Google. (a) Google will indemnify, defend, and hold harmless Company from and against all liabilities, damages, and costs (including settlement costs) arising out of a third party claim: (i) [*], (ii) arising from Google’s breach of this Agreement, or (iii) [*], or (iv) arising from or related to Google’s breach of any third party agreements as a result of Google’s entering into this Agreement or Google’s provision of the Services under the terms of this Agreement.

By Google. (a) Google will indemnify, defend, and hold harmless Company and its Affiliates (which are receiving the Services under this Agreement), and their respective officers, directors, employees and agents, from and against all liabilities, damages, and reasonable costs (including settlement costs) arising out of a third party claimclaim brought against Company or its Affiliates: (i) [*]that authorized use of Google’s technology used to provide the Services or any Google Brand Features infringes or misappropriates any copyright, trade secret, trademark or patent of that third party; (ii) arising from Google’s breach of this Agreement, [***]; or (iii) [***], or (iv) arising from or related to Google’s breach of any third party agreements as a result of Google’s entering into this Agreement or Google’s provision of the Services under the terms of this Agreement.

By Google. (a) a. Google will indemnify, defend, and hold harmless Company and its Affiliates (which are receiving the Services under this Agreement), and their respective officers, directors, employees and agents, from and against all liabilities, damages, and reasonable costs (including settlement costs) arising out of a third party claimclaim brought against Company or its Affiliates: (i) [*]that authorized use of Google’s technology used to provide the Services or any Google Brand Features infringes or misappropriates any copyright, trade secret, trademark or patent of that third party; (ii) arising from Google’s breach of this Agreement, [***]; or (iii) [***], or (iv) arising from or related to Google’s breach of any third party agreements as a result of Google’s entering into this Agreement or Google’s provision of the Services under the terms of this Agreement.

(a) Google will defend and indemnify, defendor at its option settle, and hold harmless Company Customer from and against all liabilities, damages, and costs (including settlement costs) , arising out of a third party claim: (i) [*], (ii) arising from Google’s breach of this Agreement, or (iii) [*], or (iv) arising from or related to Google’s breach of any third party agreements as a result of Google’s entering into this Agreement or Google’s provision of claim that the Services under used in accordance with the terms Documentation and the Agreement infringes any patent, copyright, trade secret or trademark of this Agreementthat third party.

By Google. (a) Google will indemnify, defend, and hold harmless Company Customer from and against all liabilities, damages, and costs (including settlement costscosts and reasonable attorneys’ fees) arising out of a third party claim: (i) [*], (ii) arising from Google’s breach of this Agreement, or (iii) [*], or (iv) arising from or related to Google’s breach of any third party agreements as a result of Google’s entering into claim that the Solution used in accordance with the Documentation and this Agreement infringes or Google’s provision misappropriates any patent, copyright, trade secret or trademark of the Services under the terms of this Agreementthat third party.
