By Autobooks. Subject to the other limitations, terms and conditions of this Exhibit E, Autobooks shall indemnify, defend, and hold harmless User, and its directors, officers, employees, affiliates, and agents from and against all third party proceedings, claims, losses, damages, demands, liabilities, and expenses whatsoever, including all reasonable legal and accounting fees and expenses and all reasonable collection costs, incurred by User, its directors, officers, employees, affiliates, and agents to the extent resulting from or arising out of Autobooks’s willful misconduct.

  • COMPUTER GRAPHICS FILES The Engineer agrees to comply with Attachment G, Computer Graphics Files for Document and Information Exchange, if determined by the State to be applicable to this contract.

  • Electronic Files a. It is the Buyer's responsibility to maintain a copy of any original Electronic File provided by the Buyer.

  • Educational Records Educational Records are official records, files and data directly related to a student and maintained by the school or local education agency, including but not limited to, records encompassing all the material kept in the student’s cumulative folder, such as general identifying data, records of attendance and of academic work completed, records of achievement, and results of evaluative tests, health data, disciplinary status, test protocols and individualized education programs. For purposes of this DPA, Educational Records are referred to as Student Data.   • WASHINGTON’S ELECTRONIC BUSINESS SOLUTION (WEBS). Contractor represents and warrants that it is registered in Washington’s Electronic Business Solution (WEBS), Washington’s contract registration system and that, all of its information therein is current and accurate and that throughout the term of this Master Contract, Contractor shall maintain an accurate profile in WEBS.

  • Computer The Contractor shall maintain at its office for its use a computer with, at a minimum, a 1 GHz processor and an internet connection. The Contractor shall maintain individual email accounts for each of its project managers.

  • Alcoholic Beverages Costs of alcoholic beverages are unallowable.
