Buyer’s Regulatory Approvals. The Buyer shall have received the Buyer's Regulatory Approvals specified in SCHEDULE 6.1(c), with such terms and conditions as may be included therein except for such terms and conditions that, either singly or in the aggregate, are reasonably likely to have a Material Adverse Effect;

Buyer shall remain registered with the SEC and in good standing as a broker-dealer and shall have obtained any approvals from, and provided any notices to, FINRA or any other self-regulatory organization required for Buyer to consummate the Transactions contemplated hereby and to operate the Business upon Closing.
