Buyers' Fees and Expenses. Subject to Section 11(l) below, at ------------------------- Closing, the Company shall reimburse the Buyers for the Buyers' attorneys' fees and expenses (in an amount not to exceed $10,000.00) incurred by the Buyers concerning the due diligence review of the contemplated transactions and the Company, and the negotiation and preparation of the Transaction Documents and the consummation of the transactions contemplated thereby; provided, however, -------- that the Buyers may elect, in their sole discretion, to effect such reimbursement by deducting such costs and expenses from the Purchase Price prior to making such payment to the Company.

Buyers' Fees and Expenses. Subject to the provisions of Article IX (including the indemnification and other obligations of Seller thereunder), Buyer shall bear and pay all fees, costs and expenses (including all fees and expenses payable to SVB Alliant, financial advisor, and all legal fees and expenses payable to Holme Roberts & Owen LLP, outside legal counsel to Buyer) that have been ixxxxxxx or xxxt are in the future incurred by or on behalf of Buyer in connection with: (i) the negotiation, preparation and review of any letter of intent or similar document relating to any of the Transactions; (ii) the investigation and review conducted by Buyer and its Representatives with respect to the business of Seller; (iii) the negotiation, preparation and review of this Agreement, the other Transactional Agreements and all bills of sale, assignments, certificates, opinions and other instruments and documents delivered or to be delivered in connection with the Transactions; (iv) the preparation and submission of any filing or notice required to be made or given by Buyer and by Seller with respect to any antitrust filings in connection with any of the Transactions, and the obtaining of any Consent required to be obtained by Buyer in connection with any of the Transactions (provided, however, that nothing herein shall require Buyer to expend more than de minimis out of pocket amounts); and (v) the consummation and performance of the Transactions.

  • Transfer Fees and Expenses The Transferor and Transferee of any Units or other interest in the Company shall be jointly and severally obligated to reimburse the Company for all reasonable expenses (including attorneys’ fees and expenses) of any Transfer or proposed Transfer, whether or not consummated.
