Buyer Data for all Defaults by the Supplier resulting in direct loss, destruction, corruption, degradation or damage to any Buyer Data, will not exceed the amount in the Order Form
Buyer Data. 7.4 All Intellectual Property Rights vesting in either Party prior to the date of this Agreement shall remain vested in such Party notwithstanding any other provision of this Agreement.
Buyer Data. 23.1 Supplier shall, and shall procure that Supplier’s Group and sub- contractors to Supplier’s Group shall, comply with the European Union Data Protection Directive, the Telecoms Data Protection Directive 1997 and the Data Protection Act 1998 (the "Legislation") in relation to any personal data (as defined in the Legislation) relating to or originating from the Buyer’s Group or its employees to which Supplier’s Group and its sub-contractors gain access for the purposes of or pursuant to the arrangements contemplated by this Agreement.
Buyer Data. The Supplier must not remove any proprietary notices in the Buyer Data. The Supplier will not store or use Buyer Data except if necessary to fulfil its obligations. If Buyer Data is processed by the Supplier, the Supplier will supply the data to the Buyer as requested. The Supplier must ensure that any Supplier system that holds any Buyer Data is a secure system that complies with the Supplier’s and Buyer’s security policy and all Buyer requirements in the Order Form. The Supplier will preserve the integrity of Buyer Data processed by the Supplier and prevent its corruption and loss. Buyer Data. Any software, database, data file, record or other information owned, licensed, leased or provided by Buyer or any of its Affiliates that is provided to, or stored or accessed by, Seller or any of its Affiliates in connection with any Service, each as modified, maintained or enhanced from time to time by Buyer, any of its Affiliates or any relevant third party (collectively, the “Buyer Data”) shall remain the sole and exclusive property of Buyer or its Affiliates, as the case may be. In furtherance of the foregoing, under no circumstances will Seller or any of its Affiliates obtain, pursuant to this Agreement, any ownership right or license in or to (a) any Intellectual Property of Buyer or its Affiliates or (b) any of the Buyer Data
Buyer Data. Buyer is owner of and has the sole right to use Buyer Data in any way that it sees fit. Seller will not share or store Buyer Data except to fulfill the applicable Order. If requested, Seller will assist Buyer with extracting Buyer Data from the Goods and Services. Buyer Data will be available to Buyer in a machine-readable method and format acceptable to Buyer. Buyer Data must be compatible with the systems provided by Buyer, if any, including, but not limited to operational technology and information technology. All Buyer Data stored by Seller, whether on or off Site, must be readily accessible to and by Buyer. Buyer grants to Seller a limited, non-exclusive license to access and use Buyer Data for the sole purpose of performing under the applicable Agreement or related contracts between Buyer and Seller such as support or service contracts. Seller’s duties under this Section will survive the termination or expiration of this Agreement. Seller will provide to Buyer transition services following the termination or expiration of the applicable Services, in whole or in part, to the extent reasonably necessary to minimize any impact on Buyer as Buyer either moves the Services inhouse or transitions to another service provider. Such transition services will be provided on a time and materials basis and may include: (a) developing a plan for the orderly transition of the Buyer Data and the Services; (b) using commercially reasonable efforts to assist Buyer in acquiring any necessary rights to legally and physically access and use any third-party services, technologies and documentation then being used by Seller in connection with the Services; and (c) such other activities upon which the Parties may agree.
Buyer Data. Seller acknowledges that, as between Seller and Buyer, Buyer owns all right, title, and interest, including all intellectual property rights, in and to all data the Buyer Data (as defined below). Buyer hereby grants to Seller (i) a non-exclusive, perpetual, irrevocable, royalty-free, fully paid-up, worldwide license with the scope as set forth hereinafter. You must not (and must ensure that your personnel do not): • remove buyer data or allow buyer data to be removed from the buyer's premises without the buyer's prior written consent; • use buyer data held or accessible by you for any purpose other than fulfilling your obligations under the work order; • purport to sell, let for hire, assign rights in or otherwise dispose of buyer data; • purport to commercially exploit buyer data; or • alter buyer data in any way, other than in providing the deliverables as required under the work order. You must establish and maintain safeguards against the destruction, loss or alteration of buyer data in your possession or control that: • are no less rigorous than those notified by the buyer from time to time and will be no less rigorous than the safeguards that can be reasonably expected in well run projects; and • comply with all laws and any procedures or requirements specified by the buyer from time to time
