Business Employee List. All of the employees of Seller and its Subsidiaries who work directly and primarily with the Transferred Assets as of the date hereof (including (i) those on military leave and family and medical leave, (ii) those on approved leaves of absence, and (iii) those on short-term disability under the short-term disability program of Seller or its Subsidiaries) regardless of the company payroll on which such individuals appear (the “Business Employees”), together with the country in which each such Business Employee is based, are listed on Section 3.12 of the Seller Disclosure Letter.

Business Employee List. Section 5.10(a)(i) of the Disclosure Schedules lists, after consultation with the Purchaser, each Business Employee as of the date hereof (the “Business Employee List”), including, to the extent permitted by applicable Law, an identification number and such Business Employee’s name, position, work location, employing entity, base salary or wages, target bonus, pension eligibility and employment status (i.e., part-time or full-time, exempt or non-exempt). The Seller shall deliver to the Purchaser an update to the Business Employee List at least thirty (30) days prior to the Principal Closing Date. With respect to each Deferred Jurisdiction, the Seller shall deliver to the Purchaser an update to the Business Employee List at least 10 days prior to the anticipated Applicable Closing Date. Any changes to the Business Employee List following the date hereof shall be mutually agreed to by the Purchaser and the Seller on or prior to the Principal Closing Date and/or Applicable Closing Date, as applicable; provided that such agreement of either party shall not be unreasonably withheld, conditioned or delayed and shall not be required in the event of terminations of employment due to death, disability, resignation, retirement, as otherwise permitted by Section 5.1(d)(iii) of this Agreement or in the case of any Automatic Transferred Employee. Except in accordance with this Section 5.10(a), the Seller shall take all reasonable actions to ensure that Business Employees are not transferred to or from the Business following the date hereof.

Business Employee List. The Companies have provided to the Purchaser a list of the name or identification number of each Business Employee as of February 2021, including such employee’s title, hire date, location (country and applicable state or province), employing entity, full-time or part-time status, and annual salary or base wage rate (if applicable), incentive or bonus entitlement, whether such employee is classified as exempt or non-exempt for wage and hour purposes and whether such employee is on a long-term leave of absence, anonymized to the extent required by applicable Law.

Business Employee List. From the Execution Date until the Closing Date, the Company shall deliver to Purchaser, on a periodic basis as reasonably requested by Purchaser, an updated Business Employee List including the information described in Section 3.20, in each case reflecting, among other changes thereto, any resignations from employment or changes in employment terms.

With respect to the updated Business Employee Lists to be delivered by the Seller, unless otherwise agreed upon by the Parties in writing, no modifications shall be made to such Business Employee Lists from the final list delivered by the Seller prior to the Closing Date, except to reflect Business Employees hired or terminated since the date of such list, in each case, subject to and consistent with the terms of the Purchase Agreement.

Business Employee List. The Company has delivered the Business Employee List to the Acquirer and all of the information included on the Business Employee List is true and accurate as of the date hereof. The Company shall update and deliver to the Acquirer an updated Business Employee List at least ten (10) Business Days prior to the Closing Date to reflect any terminations and new hires and reallocations permitted or consented to by the Acquirer pursuant to Section ‎4.2(e) below. Other than the Business Employees included on the Business Employee List, no Company Service Provider primarily provides services to the business of the Company. To the Company’s Knowledge, the services provided by the Business Employees constitute all of the services reasonably required to conduct and operate the business of the Company in the same manner as of the Closing Date, in all material respects, as conducted by the Company as of the date hereof.
Business Employee List. Seller will make available to Buyer within 30 days of the date hereof a list of current Business Employees setting forth for each such employee, as applicable, title, date of hire, employer, work location, annual salary or hourly rate, any bonus or incentive compensation opportunities, total compensation for 2019, union affiliation, exempt/non-exempt classification, visa status, and indicating whether any such employee is on a leave of absence. Such list shall be correct and complete as of the date of this Agreement and Seller shall provide periodic updates to such information upon written request by Buyer.
