Bulk Sales Law Waiver. Purchaser and Seller each agree to waive compliance by the other with the provisions of the bulk sales law or comparable law of any jurisdiction to extent that the same may be applicable to the transactions contemplated by this Agreement. Seller agrees to indemnify and hold Purchaser harmless from and against any loss, damage, liability, cost, expense or claim arising out of any failure to take any required actions under the bulk sales or comparable law of any state.
Bulk Sales Law Waiver. Subject to Section 10.2, each party hereto agrees to waive compliance by the other with any applicable bulk sales Legal Requirements in connection with the Transaction.
Bulk Sales Law Waiver. Each party hereto agrees to waive compliance by the other with the provisions of the bulk sales law or comparable law of any jurisdiction to the extent that the same may be applicable to the Transactions. SHP agrees to indemnify and hold harmless Alter and Management from and against any and all claims that may be asserted against Alter and Management as a result of any failure to comply with any such bulk sales law or comparable law of any jurisdiction to the extent that the same may be applicable to the Transactions.
Bulk Sales Law Waiver. Purchaser and Seller agree to waive compliance with the provisions of any “Bulk Sales” Laws of the State of Delaware and all other states where the Facilities are located, if any, which may otherwise be applicable to the transaction contemplated by this Agreement and Seller agrees to indemnify and hold harmless Purchaser as a result of such waiver of any bulk sales laws.
Bulk Sales Law Waiver. Buyer waives compliance with the provisions of any applicable bulk sales law.
Bulk Sales Law Waiver. With respect to the transfer, assignment and conveyance of the property, assets and interests transferred hereby, the parties hereby waive compliance with the bulk sales laws of any applicable jurisdiction to the extent that any such bulk sales law would apply to such transfer, assignment and conveyance.
Bulk Sales Law Waiver. The Purchaser, the Seller and the Shareholder each agrees to waive compliance by the other with the provisions of the Bulk Sales Law of the State of California or comparable law of any jurisdiction to the extent that the same may be applicable to the transactions contemplated by this Agreement.
Bulk Sales Law Waiver. Purchaser and Seller agree to waive compliance with the provisions of any “Bulk Sales” Laws of the State of Michigan and all other states where the Facilities are located, if any, which may otherwise be applicable to the transaction contemplated by this Agreement.
Bulk Sales Law Waiver. The Purchaser and the Seller each agrees to waive compliance by the other with the provisions of the Bulk Sales Law of any jurisdiction to the extent that the same may be applicable to the transactions contemplated by this Agreement. In addition to any other indemnities provided in this Agreement, the Seller agrees to indemnify and hold harmless the Purchaser from and against any and all claims that may be asserted against the Purchaser or liens claimed against any of the Transferred Assets by the creditors of the Seller or other third parties under the Bulk Sales Law of any State.
Bulk Sales Law Waiver. Buyer and Seller each agree to waive compliance by the other with the provisions of the bulk sales law or comparable law of any jurisdiction to the extent that the same may be applicable to the transactions contemplated by this Agreement. Seller agrees to indemnify and hold harmless Buyer from and against any and all claims that may be asserted against Buyer by the creditors of Seller or other third parties under the bulk sales law of Michigan or any other state, except as to the Liabilities Assumed pursuant to Section 2(a) of this Agreement for which Seller is not indemnifying Buyer.
