Brokerage or Finder’s Fees. Neither the Buyer nor any of its Affiliates, officers, directors or employees has employed any broker or finder or incurred any liability for any brokerage fees, commissions or finder’s fees in connection with the transactions contemplated herein.

Neither Buyer nor any of its Affiliates, has incurred any liability to any broker, finder or agent for any fees or commissions or similar compensation with respect to the transactions contemplated by this Agreement that would be payable by Seller, the Company or any Company Subsidiary.

Purchaser shall have no obligation with respect to any fees or with respect to any claims made by or on behalf of other Persons for fees of a type contemplated in this subsection (s) that may be due in connection with the transactions contemplated by the Transaction Documents.
Brokerage or Finder’s Fees. All negotiations relating to this Agreement and the transactions contemplated hereby have been conducted without the intervention of any person or entity acting on behalf of Seller, its Affiliates or the Company in such a manner as to give rise to a valid claim against Buyer, the Company or any Subsidiary for any broker's or finder's commission, fee or similar compensation.
