Common use of Breach of Representation Clause in Contracts

Breach of Representation. Any representation or warranty of the Company made in this Note or with respect to or in connection with the issuance of this Note (including, without limitation, any representation or warranty of the Company set forth in that certain Note Purchase and Security Agreement) shall have been false and shall have materially and adversely affected the operations of the Company.

Any representation or warranty of the Company made herein or in this Note any agreement, statement or with respect to certificate given in writing pursuant hereto or in connection with the issuance of this Note herewith (including, without limitation, any representation Subscription Agreement by and between Company and Holder), shall be false or warranty misleading in any material respect when made and the breach of which would have a material adverse effect on the Company or the prospects of the Company set forth in that certain Note Purchase and Security Agreement) shall have been false and shall have materially and adversely affected or a material adverse effect on the operations Holder or the rights of the Company.Holder with respect to this Debenture or the Shares issuable upon conversion of this Debenture;
