Breach by the Company. Any material breach by the Company of any provision of this Agreement, including, without limitation, Section 9(c). Good Reason shall not include Executive's death or Disability. Executive's continued employment shall not constitute consent to, or a waiver of rights with respect to, any circumstance constituting Good Reason hereunder. For purposes of this Section 3(c), any good faith determination of "Good Reason" made by Executive shall be conclusive.
