Common use of Branding Clause in Contracts

Branding. 5.2.1 Except as stated in Section 5.2.2 of this Attachment, in providing Verizon Telecommunications Services to Wide Voice, Verizon shall have the right (but not the obligation) to identify the Verizon Telecommunications Services with Verizon’s trade names, trademarks and service marks (“Verizon Marks”), to the same extent that these Services are identified with Verizon’s Marks when they are provided to Verizon’s Customers. Any such identification of Verizon’s Telecommunications Services shall not constitute the grant of a license or other right to Wide Voice to use Verizon’s Marks. 5.2.2 To the extent required by Applicable Law, upon request by Wide Voice and at prices, terms and conditions to be negotiated by Wide Voice and Verizon, Verizon shall provide Verizon Telecommunications Services for resale that are identified by Wide Voice’s trade name, or that are not identified by trade name, trademark or service xxxx. 5.2.3 If Verizon uses a third-party contractor to provide Verizon operator services or Verizon directory assistance, Wide Voice will be responsible for entering into a direct contractual arrangement with the third-party contractor at Wide Voice’s expense (a) to obtain identification of Verizon operator services or Verizon directory assistance purchased by Wide Voice for resale with Wide Voice’s trade name, or (b) to obtain removal of Verizon Marks from Verizon operator services or Verizon directory assistance purchased by Wide Voice for resale.

Any such identification of Verizon’s Telecommunications Services shall not constitute the grant of a license or other right to Wide Voice Cost Plus to use Verizon’s Marks. 5.2.2 To the extent required by Applicable Law, upon request by Wide Voice Cost Plus and at prices, terms and conditions to be negotiated by Wide Voice Cost Plus and Verizon, Verizon shall provide Verizon Telecommunications Services for resale that are identified by Wide VoiceCost Plus’s trade name, or that are not identified by trade name, trademark or service xxxxmark. 5.2.3 If Verizon uses a third-party contractor to provide Verizon operator services or Verizon directory assistance, Wide Voice Cost Plus will be responsible for entering into a direct contractual arrangement with the third-party contractor at Wide VoiceCost Plus’s expense (a) to obtain identification of Verizon operator services or Verizon directory assistance purchased by Wide Voice Cost Plus for resale with Wide VoiceCost Plus’s trade name, or (b) to obtain removal of Verizon Marks from Verizon operator services or Verizon directory assistance purchased by Wide Voice Cost Plus for resale.

Any such identification of Verizon’s Telecommunications Services shall not constitute the grant of a license or other right to Wide Voice Onvoy to use Verizon’s Marks. 5.2.2 To the extent required by Applicable Law, upon request by Wide Voice Onvoy and at prices, terms and conditions to be negotiated by Wide Voice Onvoy and Verizon, Verizon shall provide Verizon Telecommunications Services for resale that are identified by Wide VoiceOnvoy’s trade name, or that are not identified by trade name, trademark or service xxxx. 5.2.3 If Verizon uses a third-party contractor to provide Verizon operator services or Verizon directory assistance, Wide Voice Onvoy will be responsible for entering into a direct contractual arrangement with the third-party contractor at Wide VoiceOnvoy’s expense (a) to obtain identification of Verizon operator services or Verizon directory assistance purchased by Wide Voice Onvoy for resale with Wide VoiceOnvoy’s trade name, or (b) to obtain removal of Verizon Marks from Verizon operator services or Verizon directory assistance purchased by Wide Voice Onvoy for resale.

Any such identification of Verizon’s Telecommunications Services shall not constitute the grant of a license or other right to Wide Voice Bandwidth to use Verizon’s Marks. 5.2.2 To the extent required by Applicable Law, upon request by Wide Voice Bandwidth and at prices, terms and conditions to be negotiated by Wide Voice Bandwidth and Verizon, Verizon shall provide Verizon Telecommunications Services for resale that are identified by Wide VoiceBandwidth’s trade name, or that are not identified by trade name, trademark or service xxxx. 5.2.3 If Verizon uses a third-party contractor to provide Verizon operator services or Verizon directory assistance, Wide Voice Bandwidth will be responsible for entering into a direct contractual arrangement with the third-party contractor at Wide VoiceBandwidth’s expense (a) to obtain identification of Verizon operator services or Verizon directory assistance purchased by Wide Voice Bandwidth for resale with Wide VoiceBandwidth’s trade name, or (b) to obtain removal of Verizon Marks from Verizon operator services or Verizon directory assistance purchased by Wide Voice Bandwidth for resale.

Any such identification of Verizon’s Telecommunications Services shall not constitute the grant of a license or other right to Wide Voice PEG to use Verizon’s Marks. 5.2.2 To the extent required by Applicable Law, upon request by Wide Voice PEG and at prices, terms and conditions to be negotiated by Wide Voice PEG and Verizon, Verizon shall provide Verizon Telecommunications Services for resale that are identified by Wide VoicePEG’s trade name, or that are not identified by trade name, trademark or service xxxx. 5.2.3 If Verizon uses a third-party contractor to provide Verizon operator services or Verizon directory assistance, Wide Voice PEG will be responsible for entering into a direct contractual arrangement with the third-party contractor at Wide VoicePEG’s expense (a) to obtain identification of Verizon operator services or Verizon directory assistance purchased by Wide Voice PEG for resale with Wide VoicePEG’s trade name, or (b) to obtain removal of Verizon Marks from Verizon operator services or Verizon directory assistance purchased by Wide Voice PEG for resale.

Any such identification of Verizon’s 's Telecommunications Services shall not constitute the grant of a license or other right to Wide Voice HTCC to use Verizon’s 's Marks. 5.2.2 To the extent required by Applicable Law, upon request by Wide Voice HTCC and at prices, terms and conditions to be negotiated by Wide Voice HTCC and Verizon, Verizon shall provide Verizon Telecommunications Services for resale that are identified by Wide Voice’s HTCC's trade name, or that are not identified by trade name, trademark or service xxxx. 5.2.3 If Verizon uses a third-party contractor to provide Verizon operator services or Verizon directory assistance, Wide Voice HTCC will be responsible for entering into a direct contractual arrangement with the third-party contractor at Wide Voice’s HTCC's expense (a) to obtain identification of Verizon operator services or Verizon directory assistance purchased by Wide Voice HTCC for resale with Wide Voice’s HTCC's trade name, or (b) to obtain removal of Verizon Marks from Verizon operator services or Verizon directory assistance purchased by Wide Voice HTCC for resale.

Any such identification of Verizon’s Telecommunications Services shall not constitute the grant of a license or other right to Wide Voice Xxxxxx to use Verizon’s Marks. 5.2.2 To the extent required by Applicable Law, upon request by Wide Voice Xxxxxx and at prices, terms and conditions to be negotiated by Wide Voice Xxxxxx and Verizon, Verizon shall provide Verizon Telecommunications Services for resale that are identified by Wide VoiceXxxxxx’s trade name, or that are not identified by trade name, trademark or service xxxxmark. 5.2.3 If Verizon uses a third-party contractor to provide Verizon operator services or Verizon directory assistance, Wide Voice Xxxxxx will be responsible for entering into a direct contractual arrangement with the third-party contractor at Wide VoiceXxxxxx’s expense (a) to obtain identification of Verizon operator services or Verizon directory assistance purchased by Wide Voice Xxxxxx for resale with Wide VoiceXxxxxx’s trade name, or (b) to obtain removal of Verizon Marks from Verizon operator services or Verizon directory assistance purchased by Wide Voice Xxxxxx for resale.

Any such identification of Verizon’s Telecommunications Services shall not constitute the grant of a license or other right to Wide Voice Smartrak to use Verizon’s Marks. 5.2.2 To the extent required by Applicable Law, upon request by Wide Voice Smartrak and at prices, terms and conditions to be negotiated by Wide Voice Smartrak and Verizon, Verizon shall provide Verizon Telecommunications Services for resale that are identified by Wide VoiceSmartrak’s trade name, or that are not identified by trade name, trademark or service xxxx. 5.2.3 If Verizon uses a third-party contractor to provide Verizon operator services or Verizon directory assistance, Wide Voice Smartrak will be responsible for entering into a direct contractual arrangement with the third-party contractor at Wide VoiceSmartrak’s expense (a) to obtain identification of Verizon operator services or Verizon directory assistance purchased by Wide Voice Smartrak for resale with Wide VoiceSmartrak’s trade name, or (b) to obtain removal of Verizon Marks from Verizon operator services or Verizon directory assistance purchased by Wide Voice Smartrak for resale.
