Borrower to Reserve Stock. The Borrower shall at all times reserve and keep available out of its authorized but unissued stock, for the purpose of effecting the conversion of the Notes, such number of its duly authorized shares of common stock as shall from time to time be sufficient to effect the conversion of all outstanding Notes. If any shares of common stock, reserved or to be reserved, for such purposes, required registration under any Federal or state law before such shares may be validly issued to the holder, the Borrower covenants that it will in good faith and as expeditiously as possibly endeavor to secure such registration or approval, as the case may be. The Borrower will not take any action, which would cause the conversion price to be below the then par value, if any, per share of the common stock, or in the case of no-par stock, below the amount for which such shares may be issued as fully paid and non-assessable. The Borrower covenants that all shares of common stock which may be issued upon conversion of Notes will upon issue be fully paid and non-assessable and free from all taxes, liens and charges with respect to the issue thereof.
