Borrower Corporate Documents. (1) The Certificate or Articles of Incorporation of Borrower, certified as of a recent date prior to the Closing Date by the Secretary of State (or comparable official) of its jurisdiction of incorporation;

Borrower Corporate Documents. (A) Certified copies of the certificate of incorporation, certificate of incorporation on change of name (if any) and up-to-date memorandum and articles of association of the Borrower.

The Administrative Agent shall have received, with a counterpart for each Bank, true and complete copies of the certificate of incorporation and by-laws of the Borrower, certified as of the Closing Date as complete and correct copies thereof by the Secretary or an Assistant Secretary of the Borrower.
Borrower Corporate Documents. (1) The Articles of Organization of Borrower, certified as of a recent date prior to the Closing Date by the State of Hawaii;
Borrower Corporate Documents. Borrower's secretary shall have certified to each Bank a copy of the articles of incorporation and regulations of Borrower and resolutions duly adopted by Borrower's board of directors in respect of this Agreement and the transactions contemplated hereby and authorizing (or ratifying) the execution, delivery and performance of this Agreement, the subject notes and the security and other documents to be executed and delivered pursuant to subsections 2E.02 and 2E.03.
