Books and Records. In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Sub-Advisor hereby agrees that all records which it maintains for the Fund are the property of the Trust and further agrees to surrender promptly to the Trust any of such records upon the Trust’s request. The Sub-Advisor further agrees to preserve for the periods prescribed by Rule 31a-2 under the 1940 Act the records required to be maintained by Rule 31a-1 under the 1940 Act with respect to the services provided by the Sub-Advisor hereunder.

The Sub-Advisor Subadviser further agrees to preserve for the periods prescribed by it pursuant to Rule 31a-2 under the 1940 Act the records required to be maintained by Rule 31a-1 under the 1940 Act with respect to that are not maintained by others on behalf of the services provided by the Sub-Advisor hereunderTrust.

Books and Records. In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Sub-Advisor Adviser hereby agrees that all records which it maintains for the Fund are the property of the Trust and Company and, subject to compliance with any retention requirements under applicable regulations, further agrees to surrender promptly to the Trust Company any of such records upon the TrustCompany’s request. The Sub-Advisor Adviser further agrees to preserve for the periods prescribed by Rule 31a-2 under the 1940 Act the any such records required to be maintained by Rule 31a-1 under the 1940 Act with respect it pursuant to the services provided by the Sub-Advisor hereunderSection 3(d) of this Agreement.

The Sub-Advisor Adviser further agrees to preserve for the periods prescribed by Rule 31a-2 under the 1940 Act the records required to be maintained by Rule 31a-1 under the 1940 Act with respect to the services provided by the Sub-Advisor hereunderAct.

Books and Records. In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Sub-Sub-Advisor hereby agrees that all records which it maintains for the Fund are the property of the Trust and further agrees to surrender promptly to the Trust any of such records upon the Trust’s request. The Sub-Sub-Advisor further agrees to preserve for the periods prescribed by Rule 31a-2 under the 1940 1 940 Act the records required to be maintained by Rule 31a-1 31a-l under the 1940 Act with respect (to the services provided extent such books and records are not maintained by the Sub-Advisor hereunderAdvisor).

In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Sub-Advisor Adviser hereby agrees that all records which that it maintains for the each Fund under this Agreement are the property of the Trust and further agrees to surrender promptly to the Trust or the Adviser any of such records upon the Trust’s request. The Sub-Advisor Adviser further agrees to preserve for the periods prescribed by Rule 31a-2 3 la-2 under the 1940 Act the records required to be maintained by Rule 31a-1 31a-l under the 1940 Act with respect to the services provided by the Sub-Advisor hereunderAct.

Books and Records. In compliance with the requirements of Rule 31a-3 under the 1940 Act, the Sub-Advisor Adviser hereby agrees that all records which it maintains for the Fund Master Portfolios are the property of the Trust and further agrees to surrender promptly to the Trust any of such records upon the Trust’s request. The Sub-Advisor Adviser further agrees to preserve for the periods prescribed by Rule 31a-2 under the 1940 Act Act, the records required to be maintained by Rule 31a-1 it under the 1940 Act with respect to the services provided by the Sub-Advisor hereunderthis Agreement.

Books and Records.
