Common use of Books and Records; Access Clause in Contracts

Books and Records; Access. The Borrowers will keep proper books of record and account in which full, true and correct entries shall be made of all dealings and transactions in relation to its business and activities in accordance with applicable Law, including the Investment Company Act. Following five (5) Business Days’ prior written notice, each Borrower will give any representative of Administrative Agent or Lenders, or any of them, access at reasonable intervals and to the extent commercially reasonable during ordinary business hours to, and permit their representatives to examine, copy, or make excerpts from, any and all books, records, and documents in the possession of such Borrower and relating to its affairs, and to inspect any of the properties of such Borrower; in each case at such Lender’s or Administrative Agent’s cost and expense; provided that, so long as no Event of Default has occurred and is continuing, such inspection: (a) may be conducted by Administrative Agent on behalf of Xxxxxxx; (b) may be conducted once per calendar year; and (c) shall be conducted only if Administrative Agent has a reasonable basis for the concerns such inspection is intended to address.
