Bonus Agreements. The Company shall enter into the Bonus Agreements.
Bonus Agreements. Except for those agreements listed on Schedule 4.01(y), no Cytec Party nor any subsidiary of any Cytec Party has any agreement with any Acquired Employee that entitles such employee to any bonus or other incentive compensation in connection with the consummation of the Transactions or for which the consummation of the Transactions would accelerate the time of payment or increase the amount of compensation due to any Acquired Employee.
Bonus Agreements. Notwithstanding the Purchaser’s assumption of the Bonus Agreements and all obligations thereunder as provided herein, the Seller hereby agrees that the Seller shall make all payments that are due and payable pursuant to the terms and conditions of the Bonus Agreements and the employment agreements with each of Xxxxxx Xxxxxx, Xxxxxx Prior and Xxxxxx Xxxxxxx, and that such payments shall be made out of the Cash Consideration payable to the Seller pursuant to this Agreement. For the avoidance of doubt, the Parent Indemnified Parties shall be entitled to indemnification pursuant to Section 8.2 if, and to the extent, the Seller fails to perform the foregoing covenant.

Bonus Agreements. Practice and its key physicians shall have entered into Bonus Agreement acceptable to them and to MedCath.
