Bona Fide Receivables Sample Clauses

Bona Fide Receivables. Each Receivable is an obligation of an Obligor arising out of a past, current or future sale or performance by the applicable Originator, in accordance with the terms of the Contract giving rise to such Receivable. The Seller has no knowledge of any fact that should have led it to expect at the time of the initial creation of an interest in any Receivable hereunder that such Receivable would not be paid in full when due except with respect to any Dilution. Each Receivable classified as an “Eligible Receivableby the Seller in any document or report delivered hereunder satisfies the requirements of eligibility contained in the definition of Eligible Receivable.

Bona Fide Receivables. If such Receivable is reported as an Eligible Receivable in the Purchase Report for the Monthly Period in which such Receivable was transferred to the Buyer, such Receivable is an Eligible Receivable.

The aggregate outstanding Principal Amount of Receivables so sold by it on any Payment Date and so designated as Eligible Receivables is correctly set forth on the Required Report with respect to such Payment Date.
Bona Fide Receivables. Each Receivable sold hereunder by the Bank is or will be an account receivable arising out of the Bank's performance in accordance with the terms of the Charge Account Agreement giving rise to such Receivable. The Bank has no knowledge at the time of the sale of such Receivable to the Purchaser hereunder of any fact which should have led it to expect that such Receivable would not be enforceable against the Obligor when due.
