Common use of Board Resolutions Clause in Contracts

Board Resolutions. The Purchaser shall have delivered to the Seller copies of the resolutions, certified by a duly authorized officer of the Purchaser, duly adopted by the Purchaser’s Board of Directors authorizing and approving this Agreement and the agreements, instruments, documents and transactions contemplated hereby.

The Purchaser shall have delivered to the Seller copies of the resolutions, (certified by a duly authorized officer the President, Secretary or Assistant Secretary of the Purchaser) of the resolutions of the Board of Managers of the Purchaser authorizing the execution, duly adopted delivery and consummation by the Purchaser’s Board Purchaser of Directors authorizing and approving this Agreement and the agreements, instruments, documents and transactions contemplated herebyother Transaction Documents to which the Purchaser is a party.
