Common use of Board Resolutions Clause in Contracts

Board Resolutions. Certified copies of resolutions of the board of directors (or, where authorized, an executive committee thereof) of each Loan Party authorizing the execution and delivery of and the consummation of the transactions contemplated by this Agreement, the other Financing Agreements, and all other documents or instruments to be executed and delivered in conjunction herewith and therewith.

Board Resolutions. Certified copies of resolutions of the board of directors (or, where authorized, an executive committee thereof) of the Parent and each Loan Party Borrower authorizing the execution and delivery of and the consummation of the transactions contemplated by this Agreement, the other Financing Agreements, Agreements to which it is a party and all other documents or instruments to be executed and delivered in conjunction herewith and therewiththerewith and the performance of its obligations hereunder and thereunder. Such resolutions shall also authorize the Borrower Representative to act in its capacity as set forth in this Agreement.

Such resolutions shall also designate which Authorized Officers of the Borrower shall be authorized to make a request for an advance of the Revolving Loan hereunder.
