Blue Sky Matters. We shall not have any responsibility with respect to the right of any Underwriter or other person to sell Securities in any jurisdiction, notwithstanding any information we may furnish in that connection. You hereby authorize us to take such action as may be necessary or advisable to qualify the Securities for offering and sale in any jurisdiction. We have caused to be filed Further State Notices respecting the Securities to be offered to the public in New York in the form required by, and pursuant to, the provisions of Article 23A of the General Business Law of the State of New York.
