Binding Terms. This Agreement and the rates, terms and conditions herein shall remain in effect for the entire term hereof and each Party agrees not to seek any change to such rates, terms and conditions pursuant to the FPA, if the FPA is deemed to have jurisdiction over this Agreement, including on the grounds that they are not just and reasonable.
Binding Terms. While the parties in the LOI do not legally commit to the sale of the business, there are other terms in the LOI that the parties do make legally binding. These terms govern the parties’ relationship leading up to the time (if any) that a purchase agreement is signed by the parties. If a purchase agreement is signed, the purchase agreement governs the parties’ relationship thereafter.[5] If a purchase agreement is never signed, the binding terms in the LOI continue to govern the parties. Some of the more important and common binding terms include the following:
Binding Terms. The terms of this Agreement are binding upon and inure to the benefit of the parties and, to the extent permitted by this Agreement, the administrators, legal representatives, successors and assigns of such party.

Binding Terms. All of the representations, warranties, covenants, ------------- stipulations, promises and agreements in the Agreement shall bind and inure to the benefit of the successors of the parties hereto, whether expressed or not.
Binding Terms. The terms of this Agreement are binding upon the Parties, their representatives, successors, and assigns. The Parties to this Agreement are bound by ongoing and continuing obligations and liabilities until the later of the date: this Agreement terminates, or the underlying policies are no longer in force. This Agreement shall not be bifurcated, partially assigned, or partially assumed.
Binding Terms. In consideration of the costs incurred by the Parties in undertaking actions toward the negotiation and consummation of the Definitive Agreement, of the Covenant and of related agreements, the Parties hereby agree to the following binding terms (“Binding Terms”).
Binding Terms. (a) You agree to be bound by any rules, conventions, regulations, user agreements, user guides or instructions related to the Services or of any regulatory authorities, exchanges or trading systems through which Your trades are executed, as well as any terms of use, including disclosures, disclaimers, data protection and privacy policies that are displayed by the Services or which You may click through (the “Rules”), all of which shall be in addition to, and not in lieu of, Your obligations under this Schedule; and (b) You shall continue to be bound by the Agreement and any other Customer Document, and nothing herein shall be deemed to supersede or modify any such Customer Document.
