Billing Transition. Notwithstanding the foregoing, at any ------------------ time during the Term and at ICQ's sole discretion, ICQ shall have the right to assume responsibility for the aforementioned billing and collection obligations with respect to the IPT Fees (collectively, the "Billing Transition"); provided, however, that (i) ICQ shall give N2P -------- ------- reasonable advance notice of any such Billing Transition; (ii) the Billing Transition shall be subject to agreement of the Parties on arrangements (a) for N2P to receive the same portion of revenue from the ICQ IP Telephony Services as it would have received before the Billing Transition (and on procedures to verify the proper payment of such revenue), (b) for handling fraud, and (c) for the handling of the billing for the PTP Calling Card Service after the Initial Term, and (iii) ICQ shall be responsible for all costs and out-of-pocket expenses incurred by N2P in connection with such Billing Transition. In the event of such Billing Transition, N2P hereby agrees to provide ICQ with reasonable assistance (and to otherwise cooperate with ICQ), at ICQ's expense, regarding such Billing Transition, and following such Billing Transition, ICQ shall use commercially reasonable efforts to ensure that the billing services comply in all material respects with the standards set forth in Exhibits B and C of this Agreement.

The standard color of our vehicles that our corporate headquarters specifies is Waste Management green, a white cab, and a yellow tail safety enhancement for visibility. Vehicle Maintenance Program - To ensure the performance of our vehicles, our entire fleet undergoes a preventative maintenance program that ranks among the most aggressive in the industry. Our vehicles undergo pre- and post-inspections with the objective of enhancing vehicle performance and increasing vehicle safety. This translates to less breakdowns in the field and much more regular service. Maintenance staff according to the manufacturer’s recommended preventive maintenance schedules checks all vehicles and parts systems. Our drivers conduct pre- and post-trip inspections as part of their daily routines. Our program includes maintaining a detailed maintenance history for each vehicle in our fleet. This history is available for inspection by City staff upon request. If a vehicle is removed from service as a result of a problem in the field, or for routine maintenance, Waste Management maintains more than adequate number of spare vehicles that are LNG fueled. If a truck breaks down during the collection day, Waste Management will dispatch a replacement vehicle within fifteen minutes to minimize service interruptions. By utilizing the same type of FEL for the collection of solid waste and recyclables, all reserve trucks will be able to provide both types of services.
