Billing Adjustment Credit. To provide Customer the benefit of the rates and discounts in the Amendment as of the Effective Date and until such rates and discounts are implemented, the Company shall provide Customer with a one-time billing adjustment credit equal to $99,000.00, plus applicable taxes and surcharges. This credit shall compensate Customer for the difference between the Tariff/Guide/list rates invoiced during the 1st full billing cycle following Customer's signature date above and the rates and discounts in this Agreement. This credit shall compensate Customer for the difference between Company’s existing contract rates invoiced during the first full monthly billing period and the rates and discounts set forth in this Agreement. During the Extended Term, either party may terminate the Agreement upon at least sixty (60) days prior written notice.

Waivers: Installation Waiver: Company will waive the one-time installation charges associated with the implementation of Services within the 48 contiguous States of the U.S. provided under this Agreement except for the following services: (i) eDSL, (ii) VPN, (iii) Internet Dedicated OC3, OC12, OC48, Gig-E, (iv) PTT / third party services (including International Access and Company International), (v) Data Center, (vi) Paging, (vii) Managed Services, (viii) CPE, (ix) Enhanced Call Routing, (x) Local Disaster Recovery, (xi) Audio, Video and Net Conferencing, (xii) Voice over IP Services, (xiii) Security Services, (xiv) Non-Listing/Non-Published Service, (xv) Telecommunications Service Priority, and (xvi) Services provided by Company incumbent local exchange carriers (“ILECs”) or by Cellco Partnership and its affiliates d/b/a Company Wireless. Usage charges, monthly recurring charges, expedite charges, change charges, surcharges, charges for an unlisted or non-published number, any charges imposed by third parties (including access, egress, jack, or wiring charges), taxes or tax-like surcharges, or other Governmental Charges will not be waived. Access: The Company will waive the Customer’s monthly recurring Access Coordination (“AC”) and Central Office Connection (“COC”).

The Customer will receive 2 one-time credits each in the amount of $30,000 to be applied against the Customer’s Company service usage. The Customer will receive an $11,932 credit applied against the Customer’s Interstate and International service charges. The Customer will receive a $100,000 credit applied against the Customer’s Interstate and International total service charges. VoIP Inbound Toll Free Credit: Company will provide Customer with a one-time VoIP Inbound Toll Free Credit of $2,250. Credit will be applied against Customer’s Total Service Charges incurred for interstate and international services.
Billing Adjustment Credit. To provide Customer the benefit of the rates and discounts in this Agreement as of Customer's execution of this Agreement, Company shall provide Customer with a one-time billing adjustment credit to be calculated and applied via written amendment at a later date to be received by Customer within two (2) billing cycles following the first billing cycle. This credit shall compensate Customer for the difference between the rates invoiced for Services rendered beginning on Customer's signature date above and the rates and discounts in this Agreement and ending on the date upon which the pricing set forth herein is reflected on Customer’s invoice which the parties expect to be the first day of the second full billing cycle following execution and delivery of this Agreement by Customer to Company. The credit may be divided among no more than 10 Customer account numbers. The rates and discounts in the Agreement shall be implemented when Service is installed except where a Service Attachment indicates otherwise for a particular service. Sign-up Credit: Customer shall receive a credit of Two Hundred Fifteen Thousand Dollars ($215,000.00), which will be applied against Customer's Interstate Total Service Charges in the second (2nd ) monthly billing period of the Term following the Effective Date.
