Common use of Benefit Plans Clause in Contracts

Benefit Plans. During the Term, the Executive shall be entitled to participate in, and to all rights and benefits provided by, the health, life, medical, dental, disability, insurance and welfare plans that are maintained from time to time by the Company for the benefit of the Executive, the executives of the Company generally or for the Company’s employees generally, provided that the Executive is eligible to participate in such plan under the eligibility provisions thereof that are generally applicable to the participants thereof (collectively, “Benefit Plans”).

Benefit Plans. During the Term, the The Executive shall be entitled to participate in, and to all rights and in or receive benefits provided by, the health, life, medical, dental, disability, insurance and under any employee pension or welfare plans that are maintained from time to time benefit plan or arrangement made available by the Company for at any time during his employment hereunder to its employees (collectively the benefit of the Executive, the executives of the Company generally or for the Company’s employees generally, provided that the Executive is eligible to participate in such plan under the eligibility provisions thereof that are generally applicable to the participants thereof (collectively, “Benefit Plans”), including without limitation each qualified retirement plan, life insurance and accident plan, medical, dental insurance plans, and disability plan, subject to and on a basis consistent with the terms, conditions and overall administration of such plans and arrangements, as they may be amended from time to time.

Benefit Plans. During the TermExecutive’s employment, the Executive shall be entitled to participate in, and to all rights and benefits provided by, the health, life, medical, dental, disability, insurance and welfare plans that are maintained from time to time by the Company for the benefit of the Executive, the executives of the Company generally or for the Company’s employees generally, provided that the Executive is eligible to participate in such plan under the eligibility provisions thereof that are generally applicable to the participants thereof (collectively, “Benefit Plans”).

During the Term, the Executive shall be entitled to participate in, and to all rights and benefits provided by, the health, life, medical, dental, disability, insurance and welfare plans that are maintained from time to time by the Company for the benefit of the Executive, the executives of the Company generally or for the Company’s employees generally, provided that the Executive is eligible to participate in such plan under all employee benefit plans, programs or arrangements, which shall be established or maintained by the eligibility provisions thereof that are Company generally applicable for its employees, or generally made available to its senior executives including, but not limited to, medical, dental and vision plans. The Company also affirms its intention to adopt executive-level short-term disability, a long-term disability, life insurance and deferred compensation/retirement plans, to the participants thereof (collectivelyextent permissible by law, “Benefit Plans”)and subject to the reasonable approval of the Board.

During the Term, the Executive and, to the extent eligible, his dependents, shall be entitled to participate in, and to all rights and benefits provided by, the health, life, medical, dental, disability, insurance and welfare plans that are maintained from time to time by the Company for the benefit of the Executive, the executives of the Company generally or for the Company’s employees generally, provided that the Executive is eligible to participate in such plan and receive all benefits under any group health plans, welfare benefit plans and programs provided by the eligibility provisions thereof that are Company to its senior executives and, without duplication, its employees generally, subject, however, to the generally applicable eligibility and other provisions of the various plans and programs in effect from time to the participants thereof (collectively, “Benefit Plans”)time.

During the Term, the Executive shall be entitled to participate in(in a manner and capacity commensurate with his position and duties), subject to eligibility and other terms generally established by the Board, in any employee benefit plan (including but not limited to all rights and benefits provided bylife insurance plans, the stock option plans, group hospitalization, health, lifedental care (which health insurance shall also cover Executive's dependents), medicalprofit sharing and pension, dentalbonus and other benefit plans), disability, insurance and welfare plans that are maintained as may be adopted or amended by the Company from time to time by the Company for the benefit of the Executive, the executives of the Company generally or for the Company’s employees generally, provided that the Executive is eligible to participate in such plan under the eligibility provisions thereof that are generally applicable to the participants thereof (collectively, “Benefit Plans”)time.

During the Term, the Executive shall be entitled to participate inparticipate, on the same basis and at the same level as generally available to all rights and benefits provided byother executive officers of the Company, the healthin any group insurance, lifehospitalization, medical, dentalhealth and accident, disability, insurance fringe benefit and welfare deferred compensation plans that are maintained from time to time by the Company for the benefit of the Executive, the executives or programs of the Company generally now existing or for hereafter established to the Company’s employees generally, provided extent that the Executive he is eligible to participate in such plan under the eligibility general provisions thereof that are generally applicable to the participants thereof (collectively, “Benefit Plans”)thereof.

Benefit Plans. During the Term, the Executive shall be entitled to participate inparticipate, to the extent that he is eligible under the terms and conditions thereof, in any pension, retirement, hospitalization, health insurance, disability or medical service plan generally available to all rights and benefits provided by, the health, life, medical, dental, disability, insurance and welfare plans United States executive officers or employees of the Company that are maintained may be in effect from time to time by during the Employment Period. The Company for represents to Executive that its health insurance plan generally permits the benefit coverage of the Executive's spouse and minor children, the executives of the Company generally or for the Company’s employees generally, provided that the Executive is eligible to participate in such plan under the eligibility provisions thereof that are generally applicable subject to the participants thereof (collectively, “Benefit Plans”)terms and conditions thereof. The Company shall be under no obligation to institute or continue the existence of any such employee benefit described in this paragraph.
