Common use of Benefit Plans Clause in Contracts

Benefit Plans. Executive shall be entitled to participate in any benefit plans relating to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other executive employees of the Company, subject to any and all terms and conditions contained in such plans.

Benefit Plans. Executive will be entitled to participate in those benefit plans generally provided for Company’s executives in the same or a similar tier of management, in accordance with the terms of the applicable benefit plans. Additionally, Executive shall be entitled to participate in any other benefit plans relating made available generally to stock optionsemployees of Company from time to time, stock purchasesincluding but not limited to, pension, thrift, profit sharingany savings plan, life insurance plan and disability insurancehealth insurance plan, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other executive employees of the Company, all subject to any and all terms and conditions contained in restrictions specified in, or amendments made to, such plans.

Benefit Plans. The Executive shall be entitled to participate in any benefit plans relating to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, education or other retirement or employee benefits available to other executive employees of the CompanyCompany at an appropriate level for the duties of the office, subject to any and all terms and conditions contained restrictions (including waiting periods) specified in such plans. The Company shall make commercially reasonable efforts to obtain medical and disability insurance, and such other forms of insurance as the Board of Directors shall determine, for its employees.

Benefit Plans. Executive shall be entitled eligible to participate in any benefit plans relating to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or be covered on the same basis as other retirement or employee benefits available to other executive employees senior management of the Company, subject to any under all employee benefit plans and all terms programs maintained by the Company, including without limitation retirement, health insurance and conditions contained in such planslife insurance.

Benefit Plans. The Executive shall be entitled to participate in any benefit plans relating to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverageeducation, educationdeferred compensation, or other retirement or employee benefits available to other senior executive employees of the Company, subject to any and all terms and conditions contained restrictions (including waiting periods) specified in such plansplans and/or related individual agreements. The Company shall make commercially reasonable efforts to obtain medical and disability insurance, and such other forms of insurance as the Board shall from time to time determine, for its senior executive employees.

Benefit Plans. Executive shall be entitled to participate in the Company’s medical and dental plans, life and disability insurance plans and retirement plans pursuant to their terms and conditions. Executive shall be entitled to participate in any other benefit plans relating plan offered by the Company to its Executives during the term of this Agreement (other than stock optionsoption or stock incentive plans, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, which are governed by Section 3(d) below). Nothing in this Agreement shall preclude the Company or other retirement or employee benefits available to other executive employees any affiliate of the Company, subject Company from terminating or amending any Executive benefit plan or program from time to any and all terms and conditions contained in such planstime.

Benefit Plans. The Executive shall be entitled to participate in any all Executive benefit plans relating to stock optionsplans, stock purchasesincluding, pensionwithout limitation, thriftmedical, profit sharinghospital, life and disability insurance, medical coveragepension and 401(k) plans hereafter adopted by the Board of Directors of the Company or its Subsidiary for its Executive employees and employees, executive medical coverage, education, or and to receive any other retirement or employee fringe benefits that may be made generally available to other executive employees of the Company, subject ’s Executive employees from time to any and all terms and conditions contained in such planstime.

Benefit Plans. The Executive shall be entitled to participate in any all employee benefit plans relating to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits programs of the Company Group as are available to other executive employees similarly situated executives of the Company, subject in accordance with the terms of the plans, as may be amended from time to any and all terms and conditions contained in such planstime.

The Executive shall be entitled to participate in any benefit plans relating to stock options, stock purchases, awards, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other executive employees of the Company, subject to any and all terms and conditions contained restrictions (including waiting periods) specified in such plans. The Company shall make commercially reasonable efforts to obtain medical and disability insurance, and such other forms of insurance as the Board of Directors shall from time to time determine, for its employees.

Benefit Plans. Executive shall be entitled to participate in and receive benefits under any employee benefit plan or stock-based plan of Company, and shall be eligible for any other plans relating and benefits covering executives of Company, to stock optionsthe extent commensurate with his then duties and responsibilities fixed by the Board. Company shall not make any change in such plans or benefits which would adversely affect Executive's rights thereunder, stock purchasesunless such change affects all, pension, thrift, profit sharing, life and disability insurance, medical coverageor substantially all, executive medical coverage, education, or other retirement or employee benefits available to other executive employees officers of the Company, subject to any and all terms and conditions contained in such plans.

Executive shall be entitled to participate in any such employee benefit plans relating as Company shall establish for Executives from time to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other executive employees of the Company, subject to any and all terms and conditions contained in such planstime.

Benefit Plans. During the term of his or her employment, Executive shall be entitled to participate in any the Company's benefit plans relating to stock optionsand programs, stock purchasesif any, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits made available generally to other executive employees of or executives similarly situated with the Company, subject to any including, but not limited to, medical and all terms health care plans, life insurance, disability and conditions contained in such plansa 401(k) plan.

Benefit Plans. Executive shall be entitled to participate in any benefit plans relating to stock optionslife insurance, stock purchasesdisability, pensionmedical, thrifthospital, health or dental insurance, or other bonus, incentive, profit sharing, life and disability insurancestock option, medical coverage, executive medical coverage, education, retirement or other retirement or employee benefits available to other executive employees benefit plans of the Companyemployer, subject whether contributory or non-contributory, as may from time to any and all terms and conditions contained in such planstime be uniformly maintained by the Bank for its salaried executives during the term of employment under this Agreement.

Benefit Plans. Executive shall be entitled to participate in the Company’s medical and dental plans, life and disability insurance plans and retirement plans pursuant to their terms and conditions. Executive shall be entitled to participate in any other benefit plans relating plan offered by the Company to its Executives during the term of this Agreement (other than stock optionsoption or stock incentive plans, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, which are governed by Section 8.4. below). Nothing in this Agreement shall preclude the Company or other retirement or employee benefits available to other executive employees any affiliate of the Company, subject Company from terminating or amending any Executive benefit plan or program from time to any and all terms and conditions contained in such planstime.

The Executive shall be entitled eligible to participate in any benefit plans relating to stock options, stock purchases, pension, thrift, profit sharing, life and disability all health insurance, medical coveragesavings and retirement, executive medical coverageand other benefit plans, educationif any, or other retirement or employee benefits available that are from time to time generally applicable to other executive employees of the Company, subject to any and all the terms and conditions contained in of such plans.

The Executive shall be entitled eligible to participate in any health insurance plan, dental insurance plan, retirement plan, fringe benefit plans relating to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, educationplan, or other retirement employee benefit plan generally made available by the Company to all employees or employee benefits available to other executive employees officers of the Company, Company in the same class as the Executive. Participation in any such plan or program shall be subject to any and all the terms and conditions contained in of such plansplan, including any waiting periods and/or eligibility requirements thereunder.

The Executive shall be entitled to participate in any benefit plans relating to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other senior executive employees of the Company, subject to any and all terms and conditions contained restrictions (including waiting periods) specified in such plansplans and/or related individual agreements. The Company shall make commercially reasonable efforts to obtain medical and disability insurance, and such other forms of insurance as the Board of Directors shall from time to time determine, for its senior executive employees.

Benefit Plans. The Executive shall also be entitled eligible to participate in any health insurance plan, dental insurance plan, retirement plan, fringe benefit plans relating to stock optionsplan, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, vacation plan or other retirement employee benefit plan generally made available by the Company to all employees or employee benefits available to other executive employees officers of the Company, Company in the same class as the Executive. Participation in any such plan or program shall be subject to any and all the terms and conditions contained in of such plansplan, including any waiting periods and/or eligibility requirements thereunder.

Benefit Plans. The Executive shall be entitled permitted to participate in any all employee health, retirement and insurance benefit plans relating applicable to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other executive employees officers of the CompanyCompanies, subject and such other plans as may from time to any and all terms and conditions contained in such planstime be made available or applicable to the Companies, consistent with the policies of the Companies.

Benefit Plans. The Executive shall be entitled to participate in any perquisite, benefit plans relating or compensation plan (in addition to the compensation provided for in Section 5), including any stock options, stock purchases, pension, thriftoption plan, profit sharingsharing plan and 401(k) plan, dental insurance plan, medical insurance plan, life insurance plan, health and accident plan and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available plan that are generally applicable to other executive employees all senior executives of the Company, subject Company (collectively referred to any and all terms and conditions contained in such plansas the “Benefit Plans”).

Benefit Plans. The Executive shall be entitled to participate in any benefit plans relating to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other executive employees of the Company, subject to any and all terms and conditions contained restrictions (including waiting periods) specified in such plans. The Company shall make commercially reasonable efforts to obtain medical and disability insurance, and such other forms of insurance as the Board of Directors shall from time to time determine, for its employees.

Benefit Plans. The Executive shall also be entitled to participate participate, on a basis comparable to other key executives of the Company, in any benefit plans relating to stock optionsplan or program of the Company for which key executives are or shall become eligible, stock purchasesincluding, without limitation, pension, thrift, profit sharing401(k), life and disability insuranceinsurance and stock benefits and/or plans, medical coveragesubject, executive medical coveragein the case of tax-qualified benefit plans and programs, educationto restrictions under applicable law. The Executive shall be entitled, or other retirement or employee benefits available at his own expense, to other executive employees continue his participation in any group insurance plans after the termination of his employment with the Company, subject to any and all terms and conditions contained in such plansthe extent required or permitted under applicable law.

Benefit Plans. Executive shall be entitled to participate have the option of participating in any such medical, dental, disability, hospitalization, life insurance, stock option and other benefit plans relating (such as pension and profit sharing plans) as Employer maintains from time to stock optionstime for the benefit of other full-time Executives of Employer, stock purchases, pension, thrift, profit sharing, life on the terms and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other executive employees of the Company, subject to any and all terms and the conditions contained set forth in such plans.

Benefit Plans. Executive shall be entitled to participate in and receive benefits under any employee benefit plan or stock-based plan of Company, and shall be eligible for any other plans relating and benefits covering executives of Company, to stock optionsthe extent commensurate with his then duties and responsibilities fixed by the Board. Executive shall be entitled to participate in and receive benefits under any employee benefit plan or stock-based plan of Company, and shall be eligible for any other plans relating and benefits covering officers of Company, to stock optionsthe extent commensurate with his then duties and responsibilities fixed by the Board. Company shall not make any change in such plans or benefits which would adversely affect Executive's rights thereunder, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, educationunless such change affects all, or other retirement or employee benefits available to other executive employees substantially all, officers of the Company, subject to any and all terms and conditions contained in such plans.

Benefit Plans. The Executive shall be entitled eligible to participate in any all health, retirement and insurance benefit plans relating applicable to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other executive employees of the Company, subject and such other plans as may from time to any time be made available or applicable to the Company, in accordance with the provisions of such plans and all terms and conditions contained in such plansconsistent with the policies of the Company.

Benefit Plans. At the expense of the company, Executive shall be entitled to participate in the Company’s medical and dental plans, life and disability insurance plans and retirement plans pursuant to their terms and conditions. Executive shall be entitled to participate in any other benefit plans relating plan offered by the Company to its employees during the term of this Agreement (other than stock optionsoption or stock incentive plans, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other executive employees of the Company, subject to any and all terms and conditions contained in such planswhich are governed by Section 3(d) below).

The Executive shall be entitled to participate in any benefit plans relating to stock optionsparticipate, stock purchases, pension, thrift, profit sharing, life on the same basis and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits at the same level as generally available to other executive employees officers of the Company, subject in any group insurance, hospitalization, medical, health and accident, disability, deferred compensation and retirement plans, and other plans or programs of the Company now existing or hereafter established in accordance with the terms of the plans, as in effect from time to any and all terms and conditions contained in such planstime.

Benefit Plans. Executive shall be entitled to may participate in any such medical, disability, life insurance, and other benefit plans relating as the Company maintains from time to stock optionstime for the benefit of Executives, stock purchases, pension, thrift, profit sharing, life on the terms and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other executive employees of the Company, subject to any and all terms and the conditions contained set forth in such plans.

Benefit Plans. Executive shall be entitled to also participate in any the Company's other employee benefit plans relating plans, policies, practices, and arrangements in which all senior executives are typically eligible to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, educationparticipate, or other plans and arrangements substituted therefor or in addition thereto, including without limitation any defined benefit retirement or employee benefits available to other executive employees of the Companyplan, subject to any and all terms and conditions contained in such plans.excess or

Benefit Plans. During the Term, the Executive shall be entitled eligible to participate in any either Executive’s current benefit plans relating or such medical, health, retirement, welfare and insurance plans generally made available from time to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available time to other executive employees similarly-situated executives of the Company, whichever are more favorable. Whichever benefit plans apply, the Executive’s participation is subject to any and all terms and conditions contained in such plansthe plan terms.

During the Term, Executive shall be entitled have the option of participating in such medical, dental, disability, hospitalization, life insurance, stock option and other benefit plans (such as pension and profit sharing plans) as Employer maintains from time to participate time for the benefit of other full-time executives of Employer, on the terms and subject to the conditions set forth in any benefit plans relating to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other executive employees of the Company, subject to any and all terms and conditions contained in such plans.

Benefit Plans. During the Employment Period, Executive shall will be entitled to participate in any the Company's benefit plans relating to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available programs applicable generally to other executive employees of or executives similarly situated with the Company, subject to any including medical and all health care plans, life insurance, disability and a 401(k) plan, consistent with the terms of such plans and conditions contained in such plansprograms.

Executive shall be entitled to participate in any all Company benefit plans relating to stock optionsplans, stock purchasesprograms and arrangements, pensionincluding, thriftbut not limited to, profit sharinginsurance programs, life pension plans, vacation, and disability insurancesick leave, medical coverage, as afforded other senior executive medical coverage, education, or other retirement or employee benefits available to other executive employees of the Company, subject to any and all terms and conditions contained in such plansmanagement personnel.

Benefit Plans. Executive shall be entitled to participate in any benefit plans relating to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other executive employees of plan maintained by Employer in which the Company’s Chief Executive Officer is a participant, subject pursuant to any and all the terms and conditions contained in of such plans, if any, if approved by the Board of Directors and stockholders of Employer. At a minimum, such benefit plans shall be the same as or similar to those currently provided to other executives of Company.

Benefit Plans. Executive shall be entitled to participate in the Company’s medical and dental plans, life and disability insurance plans and retirement plans pursuant to their terms and conditions. Executive shall be entitled to participate in any other benefit plans relating plan offered by the Company to its Executives during the term of this Agreement (other than stock optionsoption or stock incentive plans, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, which are governed by Section 8(c) below). Nothing in this Agreement shall preclude the Company or other retirement or employee benefits available to other executive employees any affiliate of the Company, subject Company from terminating or amending any Executive benefit plan or program from time to any and all terms and conditions contained in such planstime.

Benefit Plans. The Executive shall be entitled to participate in any plans maintained by the Employer for the benefit plans relating to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other executive employees of the CompanyEmployer's employees, which shall include at least health, dental care and sickness insurance. Participation by the Executive in any such plan is subject to any and the Executive being able to satisfy the eligibility requirements which apply to the participation of all terms and conditions contained of the Employer's employees in such plans.

Benefit Plans. Executive shall be entitled to participate in and receive benefits under any employee benefit plan or stock-based plan of Company, and shall be eligible for any other plans relating and benefits covering executives of Company, to stock optionsthe extent commensurate with his then duties and responsibilities fixed by the Board. Company shall not make any change in such plans or benefits, stock purchaseswhich would adversely affect Executive's rights thereunder, pensionunless such change affects all, thrift, profit sharing, life and disability insurance, medical coverageor substantially all, executive medical coverage, education, or other retirement or employee benefits available to other executive employees officers of the Company, subject to any and all terms and conditions contained in such plans.

Benefit Plans. The Executive shall be entitled to participate in any all existing and future benefit plans relating which the Employer provides, including medical/hospital and extended health care benefits and life insurance. In addition, the Executive consents to stock options, stock purchases, pension, thrift, profit sharing, the Employer maintaining the existing $500,000.00 key-man insurance policy on the life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other executive employees of the Company, subject to any and all terms and conditions contained in such plansExecutive.

Benefit Plans. Participation in any such plan or program shall be subject to any and all the terms and conditions contained in of such plans.plan, including any waiting periods and/or eligibility requirements thereunder

Benefit Plans. Executive shall be entitled to participate in any other benefit plans relating plan offered by the Company to stock options, stock purchases, pension, thrift, profit sharing, life and disability insurance, medical coverage, executive medical coverage, education, or other retirement or employee benefits available to other executive its employees during the term of the Company, subject to any and all terms and conditions contained in such plansthis Agreement.

The Company shall obtain medical and disability insurance, and such other forms of insurance as the Board of Directors shall determine, for its employees.
