Beneficiaries of this Agreement. Nothing in this Agreement shall be construed to give to any Person other than the Company, the Rights Agent and the registered holders of the Rights Certificates (and, prior to the Distribution Date, registered holders of the Common Stock) any legal or equitable right, remedy or claim under this Agreement; but this Agreement shall be for the sole and exclusive benefit of the Company, the Rights Agent and the registered holders of the Rights Certificates (and, prior to the Distribution Date, registered holders of the Common Stock).
Beneficiaries of this Agreement. The City is the governmental authority which has jurisdiction over Stormwater Management Permit issuance, and shall be deemed to be a beneficiary of this Agreement, both in its own right, and also for the purpose of protecting the interests of the community and other parties, public or private, in whose favor, or for whose benefit, this Agreement has been provided. This Agreement shall run in favor of the City for the entire period during which this Agreement shall be in force and in effect, without regard to whether the City has, at any time, been, remains, or is an owner of the Property or any portion, thereof. The City shall have the right, in the event of any breach of this Agreement, following notice and a reasonable period to cure, to exercise all the rights and remedies, and to maintain any action or suits at law or in equity, or other proper proceedings, to enforce the curing of such breach of this Agreement to which it may be entitled.
Beneficiaries of this Agreement. The rights and limitations in this Comtex End-User Agreement are for the benefit of Comtex and its information providers, each of which shall have the right to enforce its rights hereunder directly and on its own behalf.
Beneficiaries of this Agreement. The rights and limitations in this DITV End-User Agreement are for the benefit of DITV and its information providers, each of which shall have the right to enforce its rights hereunder directly and on its own behalf.
Beneficiaries of this Agreement. Each of the Joining Lender and the Increasing Lender hereby severally acknowledges and agrees that the Agreement set forth herein is for the expressed benefit of the parties to this Agreement and the other Lenders and their respective successors and permitted assigns.
Beneficiaries of this Agreement. The Increasing Lender hereby acknowledges and agrees that this Agreement is for the express benefit of the Borrower, the Administrative Agent and the other Lenders and their respective successors and permitted assigns.
Beneficiaries of this Agreement. Nothing in this Agreement, expressed or implied, shall give to any Person, other than the parties hereto and their successors and permitted assigns hereunder, any benefit or any legal or equitable right, remedy or claim under this Agreement; provided that the parties hereto agree that the Trustee on behalf of the Secured Parties shall be a third party beneficiary of this Agreement to the extent that the rights of the Trustee on behalf of the Secured Parties under Section 28 of the Collateral Management Agreement extend to this Agreement.
Beneficiaries of this Agreement. The parties hereto agree that the Trustee on behalf of the Secured Parties shall be a third party beneficiary of this Agreement and shall be entitled to rely upon and enforce such provisions of this Agreement (other than Section 13) to the same extent as if each of them were a party hereto. For the avoidance of doubt, amendments to this Agreement may be entered into without the consent of the Trustee.
Beneficiaries of this Agreement. Nothing in this Agreement shall be construed to give to any person or corporation other than the Company, the Warrant Agent and the registered holders of the Warrant Certificates any legal or equitable right, remedy or claim under this Agreement, and this Agreement shall be for the sole and exclusive benefit of the Company, the Warrant Agent and the registered holders of the Warrant Certificates.
Beneficiaries of this Agreement. This Termination Agreement shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns. [Signature page follows.]
