Bankruptcy of Licensee. The occurrence of a "Bankruptcy" with respect to LICENSEE. For this purpose, "Bankruptcy" means a "Voluntary Bankruptcy" or an "Involuntary Bankruptcy." A "Voluntary Bankruptcy" means the inability of LICENSEE generally to pay its debts as such debts become due, or an admission in writing by LICENSEE of its inability to pay its debts generally or a general assignment by LICENSEE for the benefit of creditors; the filing of any petition or answer by LICENSEE seeking to adjudicate it a bankrupt or insolvent, or seeking for itself any liquidation, winding up, reorganization, arrangement, adjustment, protection, relief, or composition of LICENSEE or its debts under any law relating to bankruptcy, insolvency, or reorganization or relief of debtors, or seeking, consenting to, or acquiescing in the entry of an order for relief or the appointment of a receiver, trustee, custodian, or other similar official for LICENSEE or for any substantial part of its property; or corporate action taken by LICENSEE to authorize any of the actions set forth above. An "Involuntary Bankruptcy" means without the consent or acquiescence of LICENSEE, the entering of an order for relief or approving a petition for relief or reorganization or any other petition seeking any reorganization, arrangement, composition, readjustment, liquidation, dissolution, or other similar relief under any present or future bankruptcy, insolvency or similar statute, law or regulation, or the filing of any such petition against LICENSEE, which petition shall not be dismissed within ninety (90) days, or, without the consent or acquiescence of LICENSEE, the entering of an order appointing a trustee, custodian, receiver, or liquidator of LICENSEE or of all or any substantial part of the property of LICENSEE which order shall not be dismissed within sixty (60) days.

Bankruptcy of Licensee. The filing of a voluntary petition of bankruptcy by Licensee or the filing of any involuntary petition against Licensee before or after the commencement of the Term, whether for the purpose of seeking reorganization or otherwise which petition is not dismissed within ninety (90) days of the date of the filing thereof shall constitute a default and breach of this Agreement and in such event, this Agreement shall terminate without further notice, entry or action by Licensor. Notwithstanding any of the provisions of this Agreement to the contrary, however, Licensor shall, upon such termination, be entitled to recover as its damages for such breach an amount equal to the amount payable by Licensee to Licensor under this Agreement for the remainder of the Term, as the same may be limited (if at all) by Applicable Law, if any, and in any such case Licensor may file and prove its claims for damages against the estate of Licensee.
Bankruptcy of Licensee. 20.1 If Licensee shall become bankrupt or insolvent, or shall file a petition in bankruptcy, or if the business of Licensee shall be placed in the hands of a receiver, assignee or trustee for the benefit of creditors, whether by the voluntary act of Licensee or otherwise, this Agreement shall automatically terminate according to the provisions set forth in Section 7, except that the10 day notice provision therein shall not be applicable.
Bankruptcy of Licensee. Buyer acknowledges that it has been informed by Seller that Service Merchandise Co. Inc., which is the holder of a significant Existing Farberware License, is the subject of proceedings in a United States Bankruptcy Court.

  • Enforcement of Licensed Patents Each party shall promptly notify the other in writing of any alleged or threatened infringement of any Patent included in the Licensed Patents of which such party becomes aware.

  • No Bankruptcy Petition Each Underwriter agrees that, prior to the date which is one year and one day after the payment in full of all securities issued by the Company or by a trust for which the Company was the depositor, which securities were rated by any nationally recognized statistical rating organization, it will not institute against, or join any other person in instituting against, the Company any bankruptcy, reorganization, arrangement, insolvency or liquidation proceedings or other proceedings under any Federal or state bankruptcy or similar law.
