Backup Servicing Fee. Prior to the Assumption Date, the Backup Servicer shall receive its Backup Servicing Fee in accordance with Sections 3.4 or 6.6 hereof, as applicable. On and after the Assumption Date, the Indenture Trustee, as successor Servicer, will be obligated to distribute the Backup Servicing Fee to the Backup Servicer from amounts received by the Indenture Trustee in respect of the Servicing Fee.
Backup Servicing Fee. The fee payable by the Issuing Entity to the Backup Servicer in the amount of $2,750 per month plus reasonable expenses as set forth in the Backup Servicing Agreement, or, in the case of the initial Distribution Date, in the amount of $3,666.67 plus reasonable expenses as set forth in the Backup Servicing Agreement.
Backup Servicing Fee. The Backup Servicer shall receive its Backup Servicing Fee in accordance with Sections 3.4 or 6.6, as applicable.
Backup Servicing Fee. At any time the Backup Servicer or one of its Affiliates is not the Servicer hereunder, the Backup Servicer shall be paid the Backup Servicer Fee for the performance of its obligations as Backup Servicer hereunder and under the Basic Documents.
Backup Servicing Fee. The fee payable by the Borrower to the Backup Servicer pursuant to the Backup Servicing Agreement and Section 7.3 hereof.
Backup Servicing Fee. (a) The Backup Servicer shall be paid a one-time acceptance fee of $1,000 payable by Servicer on the date hereof.
Backup Servicing Fee. Borrower shall pay, and indemnify and hold Lender harmless from, any and all backup servicing or similar fees, and all other amounts (including, without limitation, attorneys’ costs and transitional expenses) that are required to be paid to the Backup Servicing Agent.
Backup Servicing Fee. The share of the Backup Servicing Fee allocable to the Series 2017-One Noteholders with respect to any Distribution Date (the “Monthly Backup Servicing Fee”) shall mean (i) so long as no other Series other than the Senior Facility is outstanding, an amount equal to (A) the product of (x) the Backup Servicing Fee for the most recent Monthly Period preceding such Distribution Date times (y) the Floating Allocation Percentage minus (B) the portion of the Backup Servicing Fee paid or payable pursuant to the Senior Facility for such Monthly Period, and (ii) otherwise, an amount equal to the product of (1) the Floating Allocation Percentage, (2) the Series 2017-One Allocation Percentage and (3) the Backup Servicing Fee for the most recent Monthly Period preceding such Distribution Date. The remainder of the Backup Servicing Fee, if any, shall be paid by the Issuer or the holders of the Transferor Certificate and the Noteholders of other Series (as provided in the Transfer and Servicing Agreement and the related Supplements) and in no event shall the Indenture Trustee or the Series 2017-One Noteholders be liable for the share of the Backup Servicing Fee to be paid by the Issuer or the holders of the Transferor Certificate or the Noteholders of any other Series.
Backup Servicing Fee. With respect to any Series, as full compensation for its backup servicing activities under the Backup Servicing Agreement, the Backup Servicer shall be entitled to receive a backup servicing fee in respect of each day prior to the earlier of (i) the date on which the Backup Servicing Agreement terminates in accordance with the provisions thereof and (ii) the Final Issuing Entity Termination Date, payable in arrears, on each date and in the manner specified in the applicable Indenture Supplement. The “Backup Servicing Fee” shall be the aggregate of the fees specified in the Indenture Supplements and shall be payable to the Backup Servicer solely to the extent amounts are available for payment in accordance with the terms of the Indenture Supplements. The share of the Backup Servicing Fee for any Series allocable to Noteholders shall be determined in accordance with the terms of the applicable Indenture Supplement.
Backup Servicing Fee. The Backup Servicing Fee shall equal the product of (a) one-fourth, (b) the Backup Servicing Fee Rate and (c) the Pool Balance as of the first day of the preceding Collection Period.
