Background of Financial Products and Services Framework Agreement. In the ordinary course of business of the Group, the Group, from time to time, enters into the securities and financial products transactions (the “securities and financial products transactions”) with the Everbright Group and its associates, and also provides securities and financial services (the “securities and financial services”) to the Everbright Group and its associates. Similarly, the Everbright Group and its associates also enter into the securities and financial products transactions with the Group and provide the securities and financial services to the Group on normal commercial terms. To comply with the requirements of the Hong Kong Listing Rules, the Company entered into the financial products and services framework agreement (the “2016 Everbright Group Financial Products and Services Framework Agreement”) with the Everbright Group in August 2016 prior to the listing of the H Shares on the Hong Kong Stock Exchange. Such agreement shall be valid until December 31, 2018. Given the expansion of the business qualifications and business scope of the Group and the expansion of the type and scope of business engaged by the Everbright Group’s subsidiaries in recent years and taking into account the expiry of the 2016 Everbright Group Financial Products and Services Framework Agreement on December 31, 2018, the Company proposes to renew the financial products and services framework agreement between the Company and the Everbright Group on the basis of the 2016 Everbright Group Financial Products and Services Framework Agreement (the “New Everbright Group Financial Products and Services Framework Agreement”) for a term of three years commencing from January 1, 2019 to December 31, 2021.

Taking into account the expiry of the 2018 Everbright Group Financial Products and Services Framework Agreement on December 31, 2021, the Company proposes to renew the financial products and services framework agreement between the Company and the Everbright Group (the “2021 Everbright Group Financial Products and Services Framework Agreement”) on the basis of the 2018 Everbright Group Financial Products and Services Framework Agreement for a term of three years commencing from January 1, 2022 to December 31, 2024.

  • Exclusion of Products and Services If a deliverable or service that is subject to this Agreement is deleted, lost, stolen, destroyed, damaged, sold, replaced, or otherwise disposed of, the CPO may exclude it from the operation of this Agreement by notifying Contractor in writing. The notice takes effect immediately on its receipt by Contractor. More than one notice may be given. When a notice is received, Contractor shall delete the charge for the excluded deliverable or service from the sum(s) otherwise due under this Agreement.

  • Third Party Products and Services Through its Product(s), Palo Alto Networks may make available to you third-party products or services (“third-party apps”) which contain features designed to interoperate with our Products.
