Common use of Award of Restricted Stock Clause in Contracts

Award of Restricted Stock. In consideration of the Participant’s agreement to remain in the employ of the Company, in exchange for the promises contained herein, and for other good and valuable consideration which the Committee has determined exceeds the aggregate par value of the shares of Common Stock subject to the Award (as defined below), as of the Award Date, the Company issues to the Participant the number of shares of Restricted Stock set forth on the signature page hereof (the “Award”).

Award of Restricted Stock.
