Average Trading Price. Average Trading Price. “Average Trading Price” shall mean the average of the closing sale prices of a share of Parent Common Stock as reported on the Over-the-Counter Bulletin Board (or any securities exchange on which the Parent Common Stock is then traded) for each of the twenty (20) consecutive trading days ending on the trading date immediately prior to the date of determination.
Average Trading Price. For purposes ofthis Subscription Agreement, the "Average Trading Price" of the Common Stock of the Company as of a particular date shall be determined as follows: (i) if traded on a securities exchange or through the Nasdaq Capital Market or the Nasdaq Global Select Market ("Trading Market"), the daily volume weighted average closing price of the Common Stock on the Trading Market on which the Common Stock is then listed or quoted for trading as reported by Bloomberg L.P. (based on a trading day from 9:30 a.m. (New York City time) to 4:00 p.m. (New York City time) ("Trading Day")) during the Adjustment Period; (ii) if traded on the OTC Bulletin Board, the volume weighted average closing price of the Common Stock during the Adjustment Period; and (iii) if the Common Stock is not then quoted for trading on the OTC Bulletin Board and if prices for the Common Stock are then reported in the "Pink Sheets" published by Pink Sheets, LLC (or a similar organization or agency succeeding to its functions of reporting prices), the volume weighted average closing price of the Common Stock during the Adjustment Period.
Average Trading Price. As used herein, “VeriChip Average Trading Price” shall mean the volume weighted average price per share of the VeriChip Common Stock as reported on The NASDAQ Global Market (or, if the Common Stock is not then listed or quoted and traded on The NASDAQ Global Market, then the NASDAQ Capital Market or over-the-counter or other market on which the VeriChip Common Stock is traded) for the 10 consecutive trading day period preceding the applicable measurement date.
Average Trading Price. The Average Trading Price on the Closing Date shall be greater than $10 per share of Acquiror Common Stock; PROVIDED, HOWEVER, that if between the date of this Merger Agreement and the Closing Date the outstanding shares of Acquiror Common Stock shall have been changed into a different number of shares or a different class by reason of any stock dividend, subdivision, reclassification, recapitalization, split, combination or exchange of shares, then such dollar figure shall be appropriately and correspondingly adjusted to reflect such stock dividend, subdivision, reclassification, recapitalization, split, combination or exchange of shares.
Average Trading Price. The term "Average Trading Price" shall mean the volume-weighted average of the prices in all publicly-reported sales of JMAR Common Stock on the Nasdaq-NMS, or other principal securities exchange or quotation service on which the JMAR Common Stock is then listed for trading, for the ten (10) trading day period ending on the trading day immediately preceding the relevant determination date, with such closing prices adjusted appropriately for any stock splits, stock combinations and the like occurring during such ten-day trading period.
Average Trading Price. The term “Average Trading Price” has the meaning set forth in Section 1.03(a)(i).
