Common use of Availability of Information Clause in Contracts

Availability of Information. Metropolitan hereby agrees to provide Welco, at its expense, with all information and documentation with respect to its business, financial condition and other matters as Welco may deem relevant based on the standards of reasonableness and good faith and shall request in connection with Welco's performance under this Agreement, including, without limitation, copies of all correspondence with the Commission, certificates of its officers, opinions of its counsel and comfort letters from its auditors. The above-mentioned certificates, opinions of counsel and comfort letters shall be provided to Welco as Welco may request on the effective date of the Registration Statement and on the Closing Date. Metropolitan will make reasonably available to Welco, its auditors, counsel, and officers and directors to discuss with Welco any aspect of Metropolitan which Welco may deem relevant. In addition, Metropolitan, at Welco's request, will cause to be delivered to Welco copies of all certificates, opinions, letters and reports to be delivered to the underwriter or underwriters, as the case may be, pursuant to any underwriting agreement executed in connection with the Offering or otherwise, and shall cause the person issuing such certificate, opinion, letter or report to authorize Welco to rely thereon to the same extent as if addressed directly to Welco. Metropolitan represents and warrants to Welco that all such information and documentation provided pursuant to this paragraph 6 will not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statement therein not misleading. In addition, Metropolitan will promptly advise Welco of all telephone conversations with the Commission which relate to or may affect the Offering. 7.

The above-mentioned certificates, opinions of counsel and comfort letters shall be provided to Welco Xxxx as Welco Xxxx may request on the effective date of the Registration Statement and on the Closing Date. The above-mentioned certificates, opinions of counsel and comfort letters shall be provided to Welco Cruttenden as Welco Cruttenden may request on the effective date of the Registration Statement and on the Closing Date. Metropolitan will make reasonably available to WelcoCruttenden, its auditors, counsel, and officers and directors to discuss with Welco Cruttenden any aspect of Metropolitan which Welco Cruttenden may deem relevant. In addition, Metropolitan, at WelcoCruttenden's request, will cause to be delivered to Welco Cruttenden copies of all certificates, opinions, letters and reports to be delivered to the underwriter or underwriters, as the case may be, pursuant to any underwriting agreement executed in connection with the Offering or otherwise, and shall cause the person issuing such certificate, opinion, letter or report to authorize Welco Cruttenden to rely thereon to the same extent as if addressed directly to WelcoCruttenden. The above-mentioned certificates, opinions of counsel and comfort letters shall be provided to Welco South Coast as Welco South Coast may request on the effective date of the Registration Statement and on the Closing Date. Metropolitan will make reasonably available to WelcoSouth Coast, its auditors, counsel, and officers and directors to discuss with Welco South Coast any aspect of Metropolitan which Welco South Coast may deem relevant. In addition, Metropolitan, at WelcoSouth Coast's request, will 54 cause to be delivered to Welco South Coast copies of all certificates, opinions, letters and reports to be delivered to the underwriter or underwriters, as the case may be, pursuant to any underwriting agreement executed in connection with the Offering or otherwise, and shall cause the person issuing such certificate, opinion, letter or report to authorize Welco South Coast to rely thereon to the same extent as if addressed directly to WelcoSouth Coast. Metropolitan represents and warrants to Welco South Coast that all such information and documentation provided pursuant to this paragraph 6 will not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statement therein not misleading. Metropolitan hereby agrees to provide WelcoSouth Coast, at its expense, with all information and documentation with respect to its business, financial condition and other matters as Welco South Coast may deem relevant based on the standards of reasonableness and good faith and shall request in connection with WelcoSouth Coast's performance under this Agreement, including, without limitation, copies of all correspondence with the Commission, certificates of its officers, opinions of its counsel and comfort letters from its auditors. The above-mentioned certificates, opinions of counsel and comfort letters shall be provided to Welco South Coast as Welco South Coast may request on the effective date of the Registration Statement and on the Closing Date. Metropolitan will make reasonably available to WelcoSouth Coast, its auditors, counsel, and officers and directors to discuss with Welco South Coast any aspect of Metropolitan which Welco South Coast may deem relevant. In addition, Metropolitan, at WelcoSouth Coast's request, will cause to be delivered to Welco South Coast copies of all certificates, opinions, letters and reports to be 52 delivered to the underwriter or underwriters, as the case may be, pursuant to any underwriting agreement executed in connection with the Offering or otherwise, and shall cause the person issuing such certificate, opinion, letter or report to authorize Welco South Coast to rely thereon to the same extent as if addressed directly to WelcoSouth Coast. Metropolitan represents and warrants to Welco South Coast that all such information and documentation provided pursuant to this paragraph 6 will not contain any untrue statement of a material fact or omit to state a material fact necessary to make the statement therein not misleading. In addition, Metropolitan will promptly advise Welco South Coast of all telephone conversations with the Commission which relate to or may affect the Offering. 7.

The above-mentioned certificates, opinions of counsel and comfort letters shall be provided to Welco Rxxx as Welco Rxxx may request on the effective date of the Registration Statement and on the Closing Date. In addition, Metropolitan, at Welco's Rxxx’x request, will cause to be delivered to Welco Rxxx copies of all certificates, opinions, letters and reports to be delivered to the underwriter or underwriters, as the case may be, pursuant to any underwriting agreement executed in connection with the Offering or otherwise, and shall cause the person issuing such certificate, opinion, letter or report to authorize Welco Rxxx to rely thereon to the same extent as if addressed directly to WelcoRxxx.
