Authorized Distributor. The supplier shall be the manufacturer or authorized distributor of the proposed products. The distributor shall be authorized to sell to the City of Xxxxxx, and make available the manufacturer’s representative as needed by the City.
Authorized Distributor. In connection with US Bio’s engagement under Section 2.1 above, and solely for the limited purpose of compliance with the pedigree requirements of the Prescription Drug Marketing Act and any similar state laws, Dyax hereby designates US Bio as an Authorized Distributor of Record (“ADR”) of the Product during the Term.
Authorized Distributor. Salix hereby appoints Xxxxxx to market, distribute, offer for sale and sell the Generic Product to Authorized Purchasers in the Territory under the NDA during the Distribution Period [*], and Xxxxxx hereby accepts such appointment. Xxxxxx acknowledges and agrees that until the Launch Date, Xxxxxx shall have no right to distribute, market, sell or accept orders for the sale of the Generic Product, except that Xxxxxx may engage in pre-booking activities of the type described in Exhibit B. [*] Confidential treatment requested; certain information omitted and filed separately with the SEC.
Authorized Distributor. A Distributor distributing product within the terms of an Original Component Manufacturer (OCM) or the Original Equipment Manufacturer (OEM) contractual agreement. Contractual agreement terms include, but are not limited to, distribution region, distribution products or lines, and warranty flow down from the OCM/OEM. Under this distribution, the distributor would be known as an Authorized Distributor.
Authorized Distributor. Vendor represents, warrants and guarantees that it is an authorized distributor of all equipment and other goods procured by UAMS under this Purchase Order. Prior to the issuance of a purchase order, Vendor may be required to submit a letter from the manufacturer as proof of authorization.
Authorized Distributor. CDS may identify itself during the Term as an authorized distributor of GEN-PROBE Products, but shall not use any of GEN-PROBE's trademarks or trade names in its corporate name or in any other manner not expressly authorized by GEN-PROBE.
Authorized Distributor. Contractor represents and warrants, as previously certified in Contractor’s Bidder Certification, that contractor is a duly authorized wholesale distributor of all of the manufacturer product lines stated in Exhibit C Category 2. A wholesale distributor agreement must be in full force and remain valid during the term of the Master Contract. Upon request by Enterprise Services, Contractor shall provide evidence of its status as an authorized wholesale distributor. In the event the wholesale distributor loses its authorized reseller status, it must immediately notify Enterprise Services and that loss could be the basis for a material breach of the Master Contract.
Authorized Distributor. Distributor may indicate in its advertising and on its stationery that it is an authorized distributor for Supplier and that Products promoted by or sold by it were manufactured or distributed by Supplier, as the case may be. Supplier does not appoint Distributor as its agent, nor does Supplier authorize Distributor to pledge the credit of Supplier or to enter into any contract for Supplier or to bind Supplier in any manner.
Authorized Distributor. In connection with ASD's engagement under Section 2.1 above, and solely for the limited purpose of compliance with the pedigree requirements of the Prescription Drug Marketing Act and any similar state laws, Dyax hereby designates ASD as an Authorized Distributor of Record ("ADR") of the Product during the Term.
Authorized Distributor. In connection with ICS’s engagement under Section 2.1 above, and solely for the limited purpose of compliance with the pedigree requirements of the Prescription Drug Marketing Act and any similar state laws, Dyax hereby designates ICS as an Authorized Distributor of Record (“ADR”) of the Product during the Term and a third party logistics provider who does not take title to Product or have general responsibility to direct the sale or disposition of Product. The foregoing shall not be construed in a manner that results in ICS being considered a distributor or wholesaler for any other purpose or under any Applicable Laws.
