Authorization; Enforceability. The Annual Conference has full power and authority to execute, deliver and perform this Disaffiliation Agreement and all agreements and transactions contemplated hereby. The execution, delivery and performance of this Agreement and all transactions contemplated hereby have been duly authorized by all corporate action required by the Annual Conference. This Disaffiliation Agreement has been duly and validly executed and delivered by the Annual Conference, and constitutes, and each of the other agreements to be executed pursuant to the terms hereof and upon execution and delivery will constitute, legal, valid and binding obligations of the Annual Conference, enforceable in accordance with their terms.
