Common use of Authorization and Validity of this Agreement Clause in Contracts

Authorization and Validity of this Agreement. This Agreement and each of the Transactional Agreements constitute the legal, valid and binding obligation of each person or entity who is a party thereto (other than SKYC), enforceable against each such person or entity in accordance with its terms, except as such enforcement is limited by general equitable principles, or by bankruptcy, insolvency and other similar laws affecting the enforcement of creditors rights generally. Each of the Shareholders and FDH has all requisite legal capacity to execute and deliver this Agreement and the Transactional Agreements to which he or she is a party, and to perform its, his or her obligations hereunder and thereunder. The execution and delivery by FDH and each Shareholder of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “Transactions”) have been authorized by all necessary corporate or other action on the part of FDH and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYC).

Authorization and Validity of this Agreement. Each of the Shareholders and FDH Infinity Resources shareholder has all requisite legal capacity to execute and deliver this Agreement and the Transactional Transaction Agreements to which he or she is a party, and to perform its, his or her obligations hereunder and thereunder. The execution and delivery by FDH each of Infinity Resources and each Shareholder of the Shareholders of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “Transactions”) have been authorized by all necessary corporate or other action on the part of FDH Infinity Resources and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYCTap Resources).

Authorization and Validity of this Agreement. Each of the Shareholders and FDH TGD has all requisite legal capacity to execute and deliver this Agreement and the Transactional Transaction Agreements to which he he, she or she it is a party, and to perform its, his or her obligations hereunder and thereunder. The execution and delivery by FDH TGD and each Shareholder of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “"Transactions”") have been authorized by all necessary corporate or other action on the part of FDH TGD and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by each of the parties thereto (other than SKYC)Shareholders and TGD.

The execution and delivery by FDH each of Powertech and each Shareholder of the Shareholders of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “Transactions”) have been authorized by all necessary corporate or other action on the part of FDH Powertech and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYCFolkup Development).

Each of the Shareholders and FDH NewPower has all requisite legal capacity to execute and deliver this Agreement and the Transactional Transaction Agreements to which he or she is a party, and to perform its, his or her obligations hereunder and thereunder. The execution and delivery by FDH each of NewPower and each Shareholder Shareholder, of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “Transactions”) have been authorized by all necessary corporate or other action on the part of FDH NewPower and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYCE’Jxxxx).

The execution and delivery by FDH each of AZATEL and each Shareholder of the Shareholders of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “"Transactions”") have been authorized by all necessary corporate or other action on the part of FDH AZATEL and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYCVOCALSCAPE).

The execution and delivery by FDH FOI and each Shareholder of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “"Transactions”") have been authorized by all necessary corporate or other action on the part of FDH FOI and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by each of the parties thereto (other than SKYC)Shareholders and FOI.

The execution and delivery by FDH HSET and each Shareholder Shareholders of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “Transactions”) have been authorized by all necessary corporate or other action on the part of FDH HSET and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYCCFDL and CHCG).

Each of the Shareholders and FDH FTZ has all requisite legal capacity to execute and deliver this Agreement and the Transactional Agreements Documents to which he he, she or she it is a party, and to perform its, his or her obligations hereunder and thereunder. The execution and delivery by FDH FTZ and each Shareholder of this Agreement and the Transaction Agreements Transactional Documents (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “"Transactions”") have been authorized by all necessary corporate or other action on the part of FDH FTZ and each of the Shareholders. This Agreement and the Transaction Agreements all other Transactional Documents have been duly executed and delivered by each of the parties thereto (other than SKYC)Shareholders and FTZ.

The execution and delivery by FDH SSD and each Shareholder of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “"Transactions”") have been authorized by all necessary corporate or other action on the part of FDH SSD and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYCYZL and UTVG).

The execution and delivery by FDH each of Buyippee and each Shareholder of the Shareholders of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “Transactions”) have been authorized by all necessary corporate or other action on the part of FDH Buyippee and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYCENMI).

The execution and delivery by FDH AIVtech and each Shareholder AIVtech Shareholders of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “Transactions”) have been authorized by all necessary corporate or other action on the part of FDH AIVtech and each of the AIVtech Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYCECOH).

This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYCSCHC and DSFX).

This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYCFovea Jewelry).

The execution and delivery by FDH each of OOB HK and each Shareholder of the Shareholders of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “Transactions”) have been authorized by all necessary corporate or other action on the part of FDH OOB HK and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYCSharing Economy).

The execution and delivery by FDH SLB and each Shareholder of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “"Transactions”") have been authorized by all necessary corporate or other action on the part of FDH SLB and each of the Shareholders. The execution and delivery by FDH each of The Pulse Network and each Shareholder of the Shareholders of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “Transactions”) have been authorized by all necessary corporate or other action on the part of FDH The Pulse Network and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYCTPN Nevada).

The execution and delivery by FDH each of Anytone International, Anytone and each Shareholder Shareholders of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “Transactions”) have been authorized by all necessary corporate or other action on the part of FDH Anytone International, Anytone and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYCNEWN).

The execution and delivery by FDH each of Billion, E'JINIE and each Shareholder Shareholders of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “"Transactions”") have been authorized by all necessary corporate or other action on the part of FDH Billion, E'JINIE and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYCCDCG).

Each of the Shareholders and FDH XGN has all requisite legal capacity to execute and deliver this Agreement and the Transactional Transaction Agreements to which he he, she or she it is a party, and to perform its, his or her obligations hereunder and thereunder. The execution and delivery by FDH XGN and each Shareholder of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “"Transactions”") have been authorized by all necessary corporate or other action on the part of FDH XGN and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by each of the parties thereto (other than SKYC)Shareholders and XGN.

The execution and delivery by FDH each of CFDL, Shanghai and each Shareholder Shareholders of this Agreement and the Transaction Agreements (to the extent either is a party thereto), and the consummation of the transactions contemplated herein and therein (the “Transactions”) have been authorized by all necessary corporate or other action on the part of FDH CFDL, Shanghai and each of the Shareholders. This Agreement and the Transaction Agreements have been duly executed and delivered by the parties thereto (other than SKYCCHCG).
