Common use of Authority to Carry on Business Clause in Contracts

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding the provisions of this Section 15.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1414.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities Debentures issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 60 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces and territories of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.214.2.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding the provisions of this Section 15.1413.4, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.213.2.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1414.13, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.214.1.

Authority to Carry on Business. The Debenture Trustee represents to the Corporation Trust that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each the Province of the provinces of Canada Alberta but if, notwithstanding the provisions of this Section 15.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Debenture Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any the Province of the provinces of CanadaAlberta, either become so authorized or resign in the manner and with the effect specified in Section 15.2.

Authority to Carry on Business. The Trustee represents to the Corporation Acquiror and ExchangeCo that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.146.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 9.

Authority to Carry on Business. The Trustee represents to the Corporation Company that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1412.12, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.212.2.

Authority to Carry on Business. The Trustee represents to the Corporation RG and Canco that at the date of execution and delivery by it of this Indenture agreement it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding the provisions of this Section 15.146.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture agreement and the securities issued hereunder Voting Rights, the Automatic Exchange Right and the Exchange Right shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 9.

Authority to Carry on Business. The Trustee represents to the Corporation USCo, CallCo and/or AcquisitionCo that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.146.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights, the Exchange Rights and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 9.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding the provisions of this Section 15.1414.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.214.2.

Authority to Carry on Business. The Trustee represents to the Corporation Issuer that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each the Provinces of the provinces of Canada British Columbia and Alberta but if, notwithstanding the provisions of this Section 15.1411.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.211.2.

Authority to Carry on Business. The Trustee represents to the Corporation Lululemon and Exchangeco that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.144.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Exchange Right and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 7.

Authority to Carry on Business. The Trustee represents to the Corporation Company that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces of Canada British Columbia and Alberta but if, notwithstanding the provisions of this Section 15.1412.13, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any either of the provinces of CanadaBritish Columbia and Alberta, either become so authorized or resign in the manner and with the effect specified in Section 15.212.1.

Authority to Carry on Business. The Trustee represents to the Corporation Trilogy Parent and Trilogy Subsidiary that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.146.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights and the Statutory Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 45 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 9.

Authority to Carry on Business. The Trustee Debenture Agent represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of all the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1414.15, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee Debenture Agent shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces and territories of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.214.2.

Authority to Carry on Business. The Trustee represents to the Corporation Vivendi, and Vivendi Universal Exchangeco that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.14section 5.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Exchange Right and the Automatic Exchange Right shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 8.

Authority to Carry on Business. The Debenture Trustee represents to the Corporation Company that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces Provinces and Territories of Canada but if, notwithstanding the provisions of this Section 15.1413.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Debenture Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any each of the provinces Provinces and Territories of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.213.2.

Authority to Carry on Business. The Debenture Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces all Provinces and Territories of Canada but if, notwithstanding the provisions of this Section 15.14Section, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall will not be affected in any manner whatsoever by reason only of such event but the Debenture Trustee shallwill, within 90 days after ceasing to be authorized to carry on the business of a trust company in any the Province of the provinces of CanadaQuébec, either become so authorized or resign in the manner and with the effect specified in Section 15.2.

Authority to Carry on Business. The Canadian Debenture Trustee represents to the Corporation that Issuer that, at the date of execution and delivery by it of this Indenture Indenture, it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding Canada. If the provisions of this Section 15.14, it Canadian Debenture Trustee ceases to be so authorized to carry on businesssuch business in any province of Canada, the validity and enforceability of this Indenture and the securities Debentures issued hereunder under this Indenture shall not be affected in any manner whatsoever by reason only of such event event, but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, such Canadian Debenture Trustee either shall become so authorized or shall resign in the manner and with the effect specified in Section 15.216.6.

Authority to Carry on Business. The Trustee represents to the Corporation Coors and Exchangeco that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.14section 7.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 10.

Authority to Carry on Business. The Trustee represents to the Corporation Fenix and Exchangeco that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding the provisions of this Section 15.14section 6.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 9.

Authority to Carry on Business. The Trustee represents to the Corporation Parent and Canadian Sub that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.147.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 ninety (90) days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 10.

Authority to Carry on Business. The Trustee represents to Holdings and the Corporation Partnership that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.147.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights and the Statutory Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 10.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces and territories of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2.

Authority to Carry on Business. The Trustee represents to the Corporation Parent and ExchangeCo that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.146.13, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 9.

Authority to Carry on Business. The Trustee represents to Acquiror and the Corporation that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.146.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 10.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company Trust Company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1417.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company Trust Company in any of the provinces and territories of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.217.2.

Authority to Carry on Business. The Trustee represents to the Corporation Parent and ExchangeCo that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.146.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 9.

Authority to Carry on Business. The Trustee represents to the Corporation Issuer that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each the Provinces of the provinces of Canada British Columbia and Alberta but if, notwithstanding the provisions of this Section 15.1413.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.213.2.

Authority to Carry on Business. The Trustee represents to the Corporation RTO Acquiror and Canco that at the date of execution and delivery by it of this Indenture agreement it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding the provisions of this Section 15.146.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture agreement and the securities issued hereunder Voting Rights, the Automatic Exchange Right and the Exchange Right shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 9.

Authority to Carry on Business. ‌ The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1413.13, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.213.1.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1413.13, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture the Note Documents and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces and territories of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.213.1.

Authority to Carry on Business. The Indenture Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each the Provinces of the provinces of Canada Alberta and British Columbia but if, notwithstanding the provisions of this Section 15.1413.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Indenture Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any the Province of the provinces of Canada, Alberta either become so authorized or resign in the manner and with the effect specified in Section 15.213.2.

Authority to Carry on Business. The Trustee represents to the Corporation Shire and ExchangeCo that at the date of execution and delivery by it of this Indenture trust agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.146.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture trust agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Right shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 ninety (90) days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 9.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and 72 territories of Canada but if, notwithstanding the provisions of this Section 15.1414.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces or territories of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.214.2.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding Canada. If the provisions of this Section 15.14, it Trustee ceases to be so authorized to carry on businesssuch business in any province of Canada, the validity and enforceability of this Indenture and the securities Notes issued hereunder under this Indenture shall not be affected in any manner whatsoever by reason only of such event event, but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any province of Canada the provinces of Canada, Trustee either shall become so authorized or shall resign in the manner and with the effect specified in Section 15.211.5.

Authority to Carry on Business. ‌ The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces of Canada British Columbia and Alberta but if, notwithstanding the provisions of this Section 15.1413.13, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any either of the provinces of CanadaBritish Columbia and Alberta, either become so authorized or resign in the manner and with the effect specified in Section 15.213.1.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1413.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.213.2.

Authority to Carry on Business. The Debenture Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each the Province of the provinces of Canada Alberta but if, notwithstanding the provisions of this Section 15.1413.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Debenture Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any the Province of the provinces of CanadaAlberta, either become so authorized or resign in the manner and with the effect specified in Section 15.213.1.

Authority to Carry on Business. The Trustee represents to the Corporation United Royale and Canco that at the date of execution and delivery by it of this Indenture agreement it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding the provisions of this Section 15.146.11, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture agreement and the securities issued hereunder Voting Rights, the Automatic Exchange Right and the Exchange Right shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 8.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1413.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces or territories of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.213.2.

Authority to Carry on Business. The Trustee represents to the Corporation Trust that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding the provisions of this Section 15.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2.

Authority to Carry on Business. The Indenture Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1413.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Indenture Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces or territories of Canada, Canada either become so authorized or resign in the manner and with the effect specified in Section 15.213.2.

Authority to Carry on Business. The Trustee represents to the Corporation Infospace and Infospace Canada that at the date of execution and delivery by it of this Indenture trust agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.14section 7.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture trust agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 10.

Authority to Carry on Business. The Trustee represents to the Corporation that Redback and Exchangeco that, at the date of execution and delivery by it of this Indenture Agreement, it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.144.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement, the Exchange Right and the securities issued hereunder Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 30 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.27.0.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1414.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces and territories of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.214.2.

Authority to Carry on Business. The Trustee represents to the Corporation Merge and Matsub that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.14section 7.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 10.

Authority to Carry on Business. The Trustee represents to the Corporation Issuer that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.1416.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Provinces of Canada, Canada either become so authorized or resign in the manner and with the effect specified in Section 15.216.2.

Authority to Carry on Business. ‌ The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1414.13, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.214.1.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is a trust company formed under the laws of Canada and is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding the provisions of this Section 15.1412.13, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.212.1.

Authority to Carry on Business. The Trustee represents to the Corporation Acquirer and Canco that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.146.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 9.

Authority to Carry on Business. The Trustee represents to the Corporation Parent and Company that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding the provisions of this Section 15.14section 7.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 10.

Authority to Carry on Business. The Trustee represents to the Corporation Shire and ExchangeCo that at the date of execution and delivery by it of this Indenture trust agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.146.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture trust agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Right shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 9.

Authority to Carry on Business. The Trustee represents to the Corporation Holdings and THC that at the date of execution and delivery by it of this Indenture trust agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.146.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture trust agreement and the securities issued hereunder Voting Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 9.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1414.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces or territories of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.213.2.

Authority to Carry on Business. The Note Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of all the provinces Provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Note Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Provinces and territories of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2.

Authority to Carry on Business. The Trustee represents to the Corporation Duke Energy and Exchangeco that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.146.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any province of the provinces of -24- VOTING AND EXCHANGE TRUST AGREEMENT 162 Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 10.

Authority to Carry on Business. The Debenture Trustee represents to the Corporation Company that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each the Provinces of the provinces of Canada British Columbia and Alberta but if, notwithstanding the provisions of this Section 15.1414.18, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Debenture Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any the Provinces of the provinces of CanadaBritish Columbia and Alberta, either become so authorized or resign in the manner and with the effect specified in Section 15.214.2.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is a trust company formed under the laws of Canada and is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding the provisions of this Section 15.1414.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.214.2.

Authority to Carry on Business. The Trustee represents to the Corporation Acquiror and Canco that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.146.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 10.

The Trustee represents to LCE and the Corporation that at the date of execution and delivery by it of this Indenture agreement it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding the provisions of this Section 15.147.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Right shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 10.

The Debenture Trustee represents to the Corporation that at the date of execution and delivery by it of this Trust Indenture it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.1414.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Trust Indenture and the securities Debentures issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Debenture Trustee shall, within 90 60 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Provinces of Canada, Canada either become so authorized or resign in the manner and with the effect specified in Section 15.214.2.

Authority to Carry on Business. The Trustee represents to the Corporation Company and the Parent that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each one or more of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1413.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces or territories of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.213.2.

Authority to Carry on Business. The Trustee represents to the Corporation Issuer that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the all provinces of Canada but if, notwithstanding the provisions of this Section 15.1411.4, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.211.2.

Authority to Carry on Business. The Canadian Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding Canada. If the provisions of this Section 15.14, it Canadian Trustee ceases to be so authorized to carry on businesssuch business in any province of Canada, the validity and enforceability of this Indenture and the securities Debentures issued hereunder under this Indenture shall not be affected in any manner whatsoever by reason only of such event event, but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any province of Canada the provinces of Canada, Canadian Trustee either shall become so authorized or shall resign in the manner and with the effect specified in Section 15.213.6.

Authority to Carry on Business. The Trustee represents to the Corporation Molycorp that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding the provisions of this Section 15.147.9, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.27.2 of this Indenture.

Authority to Carry on Business. The Trustee represents to the Corporation Company that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1414.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.214.2.

The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1414.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.214.2.

Authority to Carry on Business. The Trustee represents to the Corporation Vivendi, and Vivendi Exchangeco that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.14section 5.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Exchange Right and the Automatic Exchange Right shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 8.

Authority to Carry on Business. The Trustee represents to Holdings and the Corporation Partnership that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.146.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights and the Statutory Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 9.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces of Canada British Columbia and Alberta but if, notwithstanding the provisions of this Section 15.1413.13, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any either of the provinces of CanadaBritish Columbia and Alberta, either become so authorized or resign in the manner and with the effect specified in Section 15.213.1.

Authority to Carry on Business. The Trustee represents to the Corporation that Issuer that, at the date of execution and delivery by it of this Indenture Indenture, it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding Canada. If the provisions of this Section 15.14, it Trustee ceases to be so authorized to carry on businesssuch business in any province of Canada, the validity and enforceability of this Indenture and the securities Notes issued hereunder under this Indenture shall not be affected in any manner whatsoever by reason only of such event event, but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, the Trustee either shall become so authorized or shall resign in the manner and with the effect specified in Section 15.213.6.

Authority to Carry on Business. ‌ The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1414.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces or territories of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.214.2.

Authority to Carry on Business. The Trustee represents to the Corporation each party hereto that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.144.9, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights shall not be affected in any manner whatsoever by reason only of such event but the Voting Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 7.

Authority to Carry on Business. The Trustee represents to the Corporation Parent and Exchangeco that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces of Canada but if, notwithstanding the provisions of this Section 15.14section 7.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Automatic Exchange Rights shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 10.

Authority to Carry on Business. The Trustee represents to the Corporation Issuer that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces of Canada British Columbia and Alberta but if, notwithstanding the provisions of this Section 15.1411.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any either of the provinces of CanadaBritish Columbia or Alberta, either become so authorized or resign in the manner and with the effect specified in Section 15.211.2.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Provinces of Canada, Canada either become so authorized or resign in the manner and with the effect specified in Section 15.2.

Authority to Carry on Business. The Debenture Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each the Province of the provinces of Canada Alberta but if, notwithstanding the provisions of this Section 15.1414.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Debenture Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any the Province of the provinces of CanadaAlberta, either become so authorized or resign in the manner and with the effect specified in Section 15.214.2.

Authority to Carry on Business. The Trustee represents to the Corporation Issuer that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each the Provinces of the provinces of Canada British Columbia and Alberta but if, notwithstanding the provisions of this Section 15.1412.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2.12.2. 12.15

Authority to Carry on Business. The Trustee represents to the Corporation REIT that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.1416.15, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities Debentures issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 60 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces Provinces of Canada, Canada either become so authorized or resign in the manner and with the effect specified in Section 15.216.2.

Authority to Carry on Business. The Trustee represents to the Corporation Parent and Purchaser that at the date of execution and delivery by it of this Indenture Agreement it is authorized to carry on the business of a trust company in each of the provinces Provinces of Canada but if, notwithstanding the provisions of this Section 15.146.13, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture Agreement and the securities issued hereunder Voting Rights, the Exchange Right and the Rights upon Automatic Exchange shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company in any of the provinces province of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.2Article 9.

Authority to Carry on Business. The Trustee represents to the Corporation that at the date of execution and delivery by it of this Indenture it is authorized to carry on the business of a trust company Trust Company in each of the provinces and territories of Canada but if, notwithstanding the provisions of this Section 15.1413.14, it ceases to be so authorized to carry on business, the validity and enforceability of this Indenture and the securities issued hereunder shall not be affected in any manner whatsoever by reason only of such event but the Trustee shall, within 90 days after ceasing to be authorized to carry on the business of a trust company Trust Company in any of the provinces and territories of Canada, either become so authorized or resign in the manner and with the effect specified in Section 15.213.2.
