Authority Regarding this Agreement. 8.3.1 MPI has the complete and unrestricted right, power, authority and capacity to (a) execute and deliver this Conversion Agreement, the Ancillary Agreements and every other document executed and delivered by MPI to the Investor Group in connection therewith (collectively the "Transaction Documents"); and (b) carry out and perform each of MPI's obligations pursuant to the Transaction Documents.
Authority Regarding this Agreement. 9.1.1 Each member of the Investor Group has the complete and unrestricted right, power, authority and capacity to (a) execute and deliver each Transaction Document to which it is a party; and (b) carry out and perform each of their respective obligations pursuant to such Transaction Documents.

Authority Regarding this Agreement. 9.1.1 Samsung Corning has the complete and unrestricted right, power, authority and capacity to (a) execute and deliver each Transaction Document to which it is a party; and (b) carry out and perform each of its obligations pursuant to such Transaction Documents.
Authority Regarding this Agreement. 5.2.1 IBC has the complete and unrestricted right, power, authority and capacity to: (a) execute and deliver this Agreement; and (b) carry out and perform IBC's obligations pursuant to this Agreement.
Authority Regarding this Agreement. 9.1.1 TI has the complete and unrestricted right, power, authority and capacity to (a) execute and deliver each Transaction Document to which it is a party; and (b) carry out and perform each of its obligations pursuant to such Transaction Documents.
Authority Regarding this Agreement. ClinTrials has the full right, power and authority to execute and deliver this Agreement. The execution and delivery of this Agreement by ClinTrials, has been duly authorized by all necessary action on the part of ClinTrials. No other action, consent or approval on the part of ClinTrials or any other person or entity, is necessary to authorize ClinTrials' due and valid execution, delivery and consummation of this Agreement. This Agreement constitutes the valid and binding obligation of ClinTrials enforceable in accordance with its terms, subject to bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium and similar laws of general applicability relating to or affecting creditors' rights.
Authority Regarding this Agreement. 9.1.1 ORIX has the complete and unrestricted right, power, authority and capacity to (a) execute and deliver each Transaction Document to which it is a party; and (b) carry out and perform each of its obligations pursuant to such Transaction Documents.
Authority Regarding this Agreement. 9.1.1 NSEB has the complete and unrestricted right, power, authority and capacity to (a) execute and deliver each Transaction Document to which it is a party; and (b) carry out and perform each of its obligations pursuant to such Transaction Documents.
Authority Regarding this Agreement. 5.2.1 Xxxxxxx Corporation and CIC each has the complete and unrestricted right, power, authority and capacity to: (a) execute and deliver this Agreement; (b) subject to the provisions of the Ortho Settlement Agreement and the Xxxx Xxxxxx License Agreements, sell, transfer, assign, license or sublicense, as applicable, the Property to CCTI; and (c) carry out and perform Xxxxxxx Corporation's and CIC's other obligations pursuant to this Agreement; provided, however, to the extent the representation and warranty set forth in clause (b) of this sentence applies to a given Biotechnology Asset which was acquired by Xxxxxxx pursuant to an Additional Biotechnology Asset License Agreement, such representation and warranty shall be subject to any limitations on Xxxxxxx contained in such third-party agreement.
