Authority of the Member. Except as otherwise provided in this Agreement, the Member shall not participate in the management or control of the Company’s business, transact any business for the Company, or have the power to act for or bind the Company, said powers being vested solely and exclusively in the Managers and the Officers of the Company.

Authority of the Member. The Member is an agent of the Company for the purpose of its business or affairs, and the act of the Member, including, but not limited to, the execution in the name of the Company, of any instrument, for the apparent purpose of carrying on in the usual way the business or affairs of the Company, binds the Company, unless the Member has, in fact, no authority to act for the Company in the particular matter and the person with whom the Member is dealing has actual knowledge of the fact that the member has no such authority.

The Member may appoint by written designation an individual to act as the “Member Representative” to exercise all rights and authority of the Member under this Agreement or otherwise with respect to the management of the business and affairs of the Company. The “Member Representative” may be removed or replaced at any time by written action of the Member.
Authority of the Member. The business and affairs of the Company shall be managed by the Member (acting directly or through the Officers). No Member may sell, assign, pledge, or otherwise transfer or encumber all or any parts of its interest in the Company (collectively referred to as “transfer”), and no transferee shall be admitted as a Member without the prior written consent of all other Member(s) and without appropriate amendments to Exhibit A attached hereto to reflect the change in ownership of membership interest in the Company. Any purported transfer in violation of this Section 3.1 shall be null and void and shall not be recognized by the Company. The Member may appoint by written designation an individual to act as the member’s representative (the “Member Representative”) to exercise all rights and authority of the Member under this Agreement or otherwise with respect to the management of the business and affairs of the Company. The Member Representative may be removed or replaced at any time by written action of the Member. The designated Member Representative is set forth on Exhibit A, which may be revised from time to time to reflect the designated Member Representative.
Authority of the Member. Nothing herein shall be construed to require any person to inquire as to the authority of the Member to act on behalf of the Company.
