Common use of Authority of Buyer Clause in Contracts

Authority of Buyer. This Agreement and the Stockholders' Agreement when executed and delivered by the Buyer will constitute the legal, valid and binding obligations of Buyer, enforceable against Buyer in accordance with their terms, except as enforcement may be limited by bankruptcy, insolvency, reorganization, moratorium or similar laws affecting enforcement of creditors' rights generally and except as enforcement is subject to general principles of equity regardless of whether enforcement is considered in a proceeding at law or in equity.
