Common use of Authority for this Agreement Clause in Contracts

Authority for this Agreement. Buyer has all requisite entity power and authority to execute, deliver and perform its obligations under this Agreement and to consummate the transactions contemplated hereby. The execution and delivery of this Agreement by Buyer has been duly and validly authorized by all necessary entity action on the part of Buyer, and no other entity proceedings on the part of Buyer are necessary to authorize this Agreement. This Agreement has been duly and validly executed and delivered by Buyer and, assuming the due authorization, execution and delivery thereof by each of the Shareholders, constitutes a legal, valid and binding obligation of Buyer, enforceable against Buyer in accordance with its terms, subject to the Enforceability Exceptions.

Buyer Purchaser has all requisite entity power and authority to execute, deliver and perform its obligations under this Agreement and to consummate the transactions contemplated herebycomply with any provisions herein. The execution and delivery of this Agreement by Buyer Purchaser has been duly and validly authorized by all necessary entity action on the part of BuyerPurchaser, and no other entity proceedings on the part of Buyer Purchaser are necessary to authorize this Agreement. This Agreement has been duly and validly executed and delivered by Buyer Purchaser and, assuming the due authorization, execution execution, and delivery thereof by each of the ShareholdersSupporting Holders, constitutes a legal, valid and binding obligation of Buyereach of Purchaser and each Merger Sub, enforceable against Buyer Purchaser in accordance with its terms, subject to the Enforceability ExceptionsLimitations.
