Common use of Authority Documents Clause in Contracts

Authority Documents. Certified copy of resolutions of the Board of Directors of Buyer authorizing the purchase of the Hotel contemplated by this Contract, and/or other evidence satisfactory to Seller and the Title Company that the person or persons executing the closing documents on behalf of Buyer have full right, power and authority to do so.

Authority Documents. Certified copy of resolutions of the Board of Directors of Buyer Seller authorizing the purchase sale of the Hotel Property contemplated by this Contract, and/or other evidence reasonably satisfactory to Seller Buyer and the Title Company that the person or persons executing the closing documents on behalf of Buyer Seller have full right, power and authority to do so, along with a certificate of good standing of Seller from the State in which the Property is located.
