Audit, Inspection and Enforcement i. Business Associate shall obtain and update at least annually a written assessment performed by an independent third party reasonably acceptable to Covered Entity, which evaluates the Information Security of the applications, infrastructure, and processes that interact with the Covered Entity data Business Associate receives, manipulates, stores and distributes. Upon request by Covered Entity, Business Associate shall provide to Covered Entity the executive summary of the assessment.

Upon request by Covered Entity, Business Associate shall provide to Covered Entity the executive summary of the assessment. Business Associate, upon the request of Covered Entity, shall fully cooperate with Covered Entity’s efforts to audit Business Associate’s compliance with applicable HIPAA Rules. If, through audit or inspection, Covered Entity determines that Business Associate’s conduct would result in violation of the HIPAA Rules or is in violation of the Contract or this Agreement, Business Associate shall promptly remedy any such violation and shall certify completion of its remedy in writing to Covered Entity. Appropriate Safeguards. Business Associate shall use appropriate safeguards and comply with Subpart C of 45 C.F.R. Part 164 with respect to electronic PHI to prevent use or disclosure of PHI other than as provided in this Agreement. Business Associate shall safeguard the PHI from tampering and unauthorized disclosures. Business Associate shall maintain the confidentiality of passwords and other data required for accessing this information. Business Associate shall extend protection beyond the initial information obtained from Covered Entity to any databases or collections of PHI containing information derived from the PHI. The provisions of this section shall be in force unless PHI is de-identified in conformance to the requirements of the HIPAA Rules.

Business Associate agrees to make internal practices, books, and records relating to the use and disclosure of PHI received from, or created or received by Business Associate on behalf of, Covered Entity, available to any state or federal agency, including the Secretary, for the purposes of determining compliance with HIPAA and any related regulations or official guidance.

Audit, Inspection and Enforcement. From time to time upon reasonable notice, Covered Entity or its third-party designee may inspect the relevant facilities, systems, books, and records of Business Associate to monitor compliance with this BAA. Business Associate shall promptly remedy any violation of any term of this BAA and shall certify the same to Covered Entity in writing. The fact that Covered Entity has the right to inspect, inspects, or fails to inspect Business Associate’s facilities, systems, and procedures, does not relieve Business Associate of its responsibility to comply with this BAA, regardless of whether Covered Entity detects or fails to detect a violation by Business Associate, nor does it constitute Covered Entity’s acceptance of such practices or waiver of Covered Entity’s rights under this BAA.
Audit, Inspection and Enforcement. With reasonable notice, CBIASC agrees to make internal practices, books and records, including policies and procedures relating to the use and disclosure of PHI received from Covered Business, or created or received by CBIASC on behalf of Covered Business, available to the Covered Business and the Secretary of the Department of Health and Human Services ("Secretary") to monitor compliance with the HIPAA Rules. CBIASC shall promptly correct any violation of the HIPAA Rules or this Agreement found by Covered Business, according to Covered Business's guidelines, and shall certify to Covered Business, in writing that it made the correction. Covered Business's failure to detect any unsatisfactory practice does not constitute acceptance of the practice or a waiver of Covered Business's enforcement rights under this Agreement.

  • Monitoring and Enforcement We have the right to: Remove or refuse to post any User Contributions for any or no reason in our sole discretion.   • Compliance and Enforcement If Contractor willfully fails to comply with any of the provisions of the LBE Ordinance, the rules and regulations implementing the LBE Ordinance, or the provisions of this Agreement pertaining to LBE participation, Contractor shall be liable for liquidated damages in an amount equal to Contractor’s net profit on this Agreement, or 10% of the total amount of this Agreement, or $1,000, whichever is greatest. The Director of the City’s Human Rights Commission or any other public official authorized to enforce the LBE Ordinance (separately and collectively, the “Director of HRC”) may also impose other sanctions against Contractor authorized in the LBE Ordinance, including declaring the Contractor to be irresponsible and ineligible to contract with the City for a period of up to five years or revocation of the Contractor’s LBE certification. The Director of HRC will determine the sanctions to be imposed, including the amount of liquidated damages, after investigation pursuant to Administrative Code §14B.17. By entering into this Agreement, Contractor acknowledges and agrees that any liquidated damages assessed by the Director of the HRC shall be payable to City upon demand. Contractor further acknowledges and agrees that any liquidated damages assessed may be withheld from any monies due to Contractor on any contract with City. Contractor agrees to maintain records necessary for monitoring its compliance with the LBE Ordinance for a period of three years following termination or expiration of this Agreement, and shall make such records available for audit and inspection by the Director of HRC or the Controller upon request.

  • GOVERNING LAW AND ENFORCEMENT (a) The choice of English law as the governing law of the Finance Documents will be recognised and enforced in its jurisdiction of incorporation.
