If In any action at law or in equity is necessary proceeding between the parties to enforce or interpret any of the terms or provisions of this Agreement, the prevailing party in the action or proceeding shall be entitled to, in addition to damages, injunctive relief or other relief, its reasonable attorney's feescosts and expenses, including, without limitation, costs and necessary disbursements in addition to any other relief to which he may be entitledreasonable attorneys’ fees, both at trial and on appeal.
